Annual accounts are the statutory financial statements a UK limited company prepares for an accounting period. They set out information about the company's financial position and performance for that period and are prepared according to the accounting framework that applies to the company, such as FRS 105 for eligible micro-entities or another applicable standard. Depending on the company's size and exemptions, the accounts may include a balance sheet, profit and loss account, notes and other required statements.

Most UK limited companies, including those based in Forres, have annual accounts filing responsibilities with Companies House, although the exact requirements depend on the company's circumstances and any available exemptions. Being small, having a single director, or being dormant for Corporation Tax does not automatically remove that responsibility. Directors remain responsible for ensuring the accounts are properly prepared and filed on time, even when an accountant or filing service submits them on the company's behalf.

The deadline depends on your company's accounting reference period and its individual circumstances, so there is no single date that applies to every company. Private companies generally have a Companies House filing deadline that follows on from the end of their accounting reference period, and the exact date should always be checked for your own company. Reviewing the date early usually makes the whole process far less stressful.

No. Annual accounts filed with Companies House are separate from a Company Tax Return (CT600) submitted to HMRC. Information from the accounts is often used when preparing the Corporation Tax computation and CT600, but filing annual accounts with Companies House does not itself constitute filing a Corporation Tax Return with HMRC. The two have different filing routes and deadlines, so they should not be treated as the same obligation.

No, they are different filings with different purposes. A confirmation statement confirms that the information Companies House holds about the company, such as its directors, registered office and shareholders, is up to date, while annual accounts report on the company's financial position and performance for the accounting period. A company may need to file both, and they are submitted separately.

Dormant companies can still have annual accounts filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically mean the company is exempt from filing annual accounts, although dormant companies may be able to file a simpler set of accounts in certain circumstances. It is worth confirming the position for your own company rather than assuming nothing needs to be filed.

Companies that qualify for the micro-entities regime may be able to prepare and file simpler accounts, often using FRS 105, where the regime applies and is chosen. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average number of employees of no more than 10, subject to the applicable rules and exclusions. Meeting those figures does not automatically confirm eligibility on its own.

Companies House can impose late filing penalties when accounts are filed after the relevant deadline. These penalties relate to the Companies House annual accounts filing, not to HMRC Corporation Tax Returns, which have their own separate deadlines. Keeping a clear note of your accounting period and checking the filing date early helps you plan ahead and avoid a last-minute scramble.
