They are prepared in line with the accounting framework that applies to the company, and UK limited companies generally have annual accounts filing responsibilities with Companies House, subject to the company's circumstances and any applicable exemptions. Annual accounts are a separate requirement from a Corporation Tax Return, a confirmation statement or a VAT Return.

As a general rule, UK registered companies have annual accounts filing responsibilities, but the detail can differ from company to company. Micro-entities, dormant companies, one-director companies and other eligible small limited companies may all have a filing requirement, while the format and content of the accounts can depend on company size, the accounting period, dormant status and available exemptions. Because requirements are not identical for every company, it is sensible to check what applies to your own circumstances.

The deadline depends on the company's own circumstances and accounting period. Private companies generally have a Companies House filing deadline based on their accounting reference period, but the exact date should be checked for the individual company rather than assumed. It also helps to remember that a Companies House accounts filing deadline is not the same as an HMRC deadline for a Corporation Tax Return, so the two should be tracked separately.

Annual accounts may include items such as a balance sheet, a profit and loss account, notes to the accounts and other required statements or information, depending on the company's size and the reporting requirements that apply. Smaller companies and micro-entities may be able to file a reduced or simplified set of information, so the contents are not identical for every company. What is filed publicly also depends on company size, the applicable accounting framework, exemptions and current Companies House requirements.

No. Annual accounts filed with Companies House are separate from a Company Tax Return (CT600) submitted to HMRC, and filing accounts at Companies House does not itself constitute filing a Corporation Tax Return. Information from the accounts may be used when preparing the company's Corporation Tax computation and CT600, so the two pieces of work are connected in practice, but they are distinct submissions with distinct deadlines.

A dormant company may still have annual accounts filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically mean the company is exempt from filing annual accounts, and the position can depend on the company's circumstances and any exemptions that apply. It is worth confirming the requirement for your company rather than assuming dormancy removes the filing obligation altogether.

Micro-entities may qualify for the micro-entities regime and may prepare accounts using FRS 105 where that regime is applicable and has been chosen. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average number of employees of no more than 10, subject to applicable rules and exclusions. Meeting those figures does not automatically confirm eligibility, as other rules may affect the position.

Companies House can impose late filing penalties when annual accounts are filed after the relevant deadline. These penalties relate to the Companies House accounts filing requirement and are separate from any HMRC penalties connected with Corporation Tax Returns. Directors remain responsible for ensuring accounts are properly prepared and filed on time, even when an accountant or filing service submits them on the company's behalf, so keeping track of the filing date matters.
