Company accounts generally need to be delivered to Companies House by the applicable statutory deadline. That deadline is not the same for every company — it depends on factors such as the company’s accounting reference period and its particular circumstances — so the point at which accounts become overdue varies from one company to the next. Once the relevant deadline has passed and the required accounts have not been delivered, those accounts are treated as overdue. It means the statutory deadline for delivering the company's accounts to Companies House has passed and the required accounts have not yet been filed. The deadline itself depends on the company's accounting reference period and its circumstances, so it is not identical for every company. Being overdue is a filing position — it does not, by itself, mean the company has been suspended or removed from the register.

In most cases, yes. Where statutory accounts are required to be delivered to Companies House, they remain outstanding until they are prepared and filed, even once the deadline has passed. Filing them does not automatically cancel any late-filing penalty that may have been incurred, as the requirement to file and any applicable penalty are dealt with as separate matters.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations and can therefore have overdue accounts if the required accounts were not delivered by the applicable deadline. Dormant status should not be treated as a reason to ignore outstanding filings.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline. Penalty levels are not the same in every case and depend on factors such as how late the accounts are and the company's circumstances. An accountant cannot automatically reduce, remove or cancel a Companies House penalty, and eligibility for an appeal depends on the circumstances and the applicable Companies House rules.

Where more than one accounting period is outstanding, each period may need to be prepared and filed separately, and filing one set of accounts does not automatically resolve the others. The work involved depends on the records available and the periods concerned, so it is worth having the position reviewed so that every outstanding period can be identified and dealt with in the right order.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. That said, not every company with overdue accounts will be dissolved. If a strike-off notice has already been issued, or if the company has been dissolved, the situation may need separate restoration or legal advice rather than being treated as an ordinary overdue accounts filing.

Where the company qualifies for the micro-entity framework, its accounts may be prepared under that framework, and FRS 105 is the financial reporting standard that applies to qualifying entities using the micro-entity accounting framework. Qualification is not automatic simply because a business is small, and the company's legal structure, accounting period and eligibility need to be considered before the appropriate reporting framework is confirmed.
