Company accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. That deadline is not identical for every company — it depends on the company’s accounting reference period, whether it is a first period of account and its own individual circumstances — so the sensible starting point is to compare what has actually been filed on the Companies House record with what should have been filed. Once a period is overdue, the obligation to prepare and deliver the accounts does not disappear. The outstanding statutory accounts still need to be prepared within the reporting framework that applies to that period, which for some qualifying companies may be micro-entity accounts under FRS 105 and for others small-company accounts or another applicable form, then reviewed and authorised by the director before delivery. Overdue company accounts are the statutory accounts for an accounting period that should have been delivered to Companies House by the applicable filing deadline but have not been filed. The accounts themselves do not change simply because they are late — the company still needs a set of accounts prepared in the correct reporting framework for that period, approved by the director and delivered. What changes is the compliance position: the deadline has passed and the filing stays outstanding until it is dealt with. Filing remains necessary even where the period is many months behind, subject to the applicable requirements.

Yes. Dormancy and overdue filing are separate issues. A dormant company that has not traded may still have annual accounts filing obligations at Companies House, and if the required accounts were not delivered by the applicable deadline, that filing becomes overdue. Dormant accounts are not the same thing as overdue accounts, and dormant status does not by itself remove the requirement to file where one applies.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. Whether a penalty applies, and how it is calculated, depends on how late the filing is and the company's circumstances, and no two cases are necessarily treated in the same way. The penalty is also a separate matter from the filing itself: delivering the outstanding accounts addresses the filing obligation, but it does not automatically cancel, reduce or remove any penalty that may apply.

Yes. Paying a penalty does not satisfy the filing obligation, and the outstanding accounts still need to be prepared and delivered to Companies House where required. The two matters run alongside each other rather than one replacing the other. In some circumstances it may be possible to appeal against a late-filing penalty, but eligibility depends on the reasons for the delay and the applicable Companies House rules, and an appeal should not be assumed to sì³®d.

Where several periods are outstanding, each one generally needs to be addressed separately, which normally means preparing a set of accounts for each period and filing them in the correct order. Filing one set of accounts does not automatically clear the remaining periods, and where a company has fallen behind over a number of years the work is usually planned out period by period. It is also worth noting that overdue accounts do not resolve other compliance matters, such as a confirmation statement that remains due or any Corporation Tax Returns owed to HMRC.
