I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Your Company Accounts Become Overdue

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is set by reference to the company’s accounting reference period and its own circumstances. When that deadline passes and the required accounts have not been delivered, the accounts are treated as overdue. Overdue filing is not the same as a company being suspended, dissolved or removed from the register, and it does not mean the obligation has gone away — it means the accounts are still outstanding and will be shown as such on the Companies House record. Directors should treat outstanding accounts as a priority, because Companies House can impose a late-filing penalty when accounts are delivered after the deadline, and the longer a filing remains outstanding, the more serious the consequences may become. The penalty and the filing obligation are separate matters: paying a penalty does not remove the requirement to prepare and deliver the accounts. Requirements are not identical for every company. A company that has not traded may still have filing obligations, a dormant company can have overdue accounts, and the level of accounts that must be prepared — micro-entity accounts, small-company accounts or another applicable form of statutory accounts — depends on the company’s size, structure, accounting period and reporting framework. Alongside the accounts, a company may also have separate Corporation Tax obligations to HMRC and its own confirmation statement to consider.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not yet been delivered to Companies House. The deadline is not identical for every company — it depends on factors such as the company's accounting reference period and its individual circumstances. Being overdue does not remove the filing obligation, and it does not by itself mean the company has been struck off or removed from the register; it simply means the accounts remain outstanding on the company's record.

Yes, where the company is required to file statutory accounts. Once a set of accounts is overdue, the obligation to prepare and deliver it does not disappear, and in most cases the sooner the position is addressed the better. Accounts filing is also separate from other compliance matters, so a company may still need to deal with its confirmation statement and any Corporation Tax obligations to HMRC alongside the outstanding accounts.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue regardless of the fact that the company has not been trading. Depending on the circumstances, a dormant company may have simpler accounts to prepare, but the filing requirement itself still needs to be considered rather than assumed away.

Where accounts are delivered after the applicable deadline, a late-filing penalty may apply. Penalty decisions and amounts are determined by Companies House under its own rules, and the position can vary from company to company, so no particular outcome should be taken for granted. What we can do is help you prepare and file the outstanding accounts properly so that the filing side of the matter is brought up to date. If a company has already received a warning or a strike-off notice, the position is different and may need separate advice rather than being handled as an ordinary overdue filing.

Yes. The penalty and the filing obligation are separate matters. Paying a penalty does not remove the requirement to prepare and deliver the outstanding accounts, and it does not mean the filing has been completed. Where a penalty has been issued, eligibility for an appeal depends on the circumstances and the applicable Companies House rules, and we can review your position with you before anything is submitted.

Where several periods are outstanding, each one may need to be prepared and delivered separately, and filing one set of accounts does not automatically resolve the others. We look at the full picture first — which periods are outstanding, what records are available and what has already been submitted — and then work through the filings in a sensible order. Directors in West Drayton facing a backlog often find it more straightforward to have the whole position reviewed at once rather than dealing with it period by period.

Some companies may qualify for the micro-entity framework, and where they do, FRS 105 is the financial reporting standard applicable to qualifying entities using that framework. Not every company qualifies, however, and a small business is not automatically a micro-entity, nor does FRS 105 apply to every overdue company. The appropriate framework depends on the company's legal structure, accounting period, size and eligibility, and we confirm this with you before any accounts are prepared.

We act for limited companies and other eligible entities whose accounts are outstanding, and we can help you establish what needs to be prepared and delivered to Companies House. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we prepare and review the accounts with you before submission so you understand what is being filed. We will also identify any separate matters that may need attention, such as a confirmation statement or a CT600 Corporation Tax Return for HMRC, since these are handled independently of the Companies House accounts.
