What It Means When Company Accounts Become Overdue

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline. That date is linked to the company’s accounting reference period and can differ from one company to the next — a company that has changed its accounting reference date, or one with a shortened or extended period, may not be working to the same deadline as others. Once the deadline passes and the required accounts have not been delivered, those accounts are treated as overdue, and the filing obligation generally continues until they are submitted. An overdue filing does not by itself mean the company has been dissolved or removed from the register; it means a required filing is still outstanding. Overdue accounts are often caused by ordinary pressures: a demanding trading period, a change of accountant, incomplete bookkeeping records, or simply not realising that a deadline had passed. Whatever the reason, outstanding accounts are usually better addressed sooner than later. Alongside the accounts themselves, a company may have other obligations that are dealt with separately. A confirmation statement, for example, is submitted to Companies House and is not the same thing as the annual accounts, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable.
