I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Mean for Directors in Tonbridge Kent

A limited company is generally required to deliver its annual accounts to Companies House by the applicable statutory deadline, which is usually based on the company’s accounting reference period and its individual circumstances rather than a single date applied to every company. When that date passes and the required accounts have not been delivered, those accounts become overdue. There are many reasons this happens: a change of accountant, incomplete bookkeeping records, a quiet or inactive period, illness, or simply a deadline that slipped past unnoticed. The position is often more manageable than directors expect once the outstanding periods have been identified properly. It is also worth being clear that dormancy or a lack of trading does not automatically remove an annual accounts filing obligation, and overdue filing is a separate issue from whether the company has been active. Where more than one accounting period is outstanding, each period may need to be prepared and filed separately. Any late-filing penalty that Companies House applies is a distinct matter from the requirement to file the accounts themselves. Acting sooner rather than later usually makes the process easier, because Companies House may take action against companies that persistently fail to meet their filing obligations. Because reporting frameworks, accounting periods and filing histories differ from company to company, the accounts required and the steps involved depend on your circumstances, and we can review yours before anything is prepared or submitted.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Overdue company accounts are annual accounts that a limited company was required to deliver to Companies House but had not filed by the applicable statutory deadline. Once that date has passed without delivery, the filing is treated as outstanding, whether or not the company has been trading. The deadline itself depends on the company's accounting reference period and its particular circumstances, so two companies incorporated at different times may not share the same filing date. The accounts still need to be prepared and delivered even though the deadline has passed.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have an annual accounts filing obligation, and where the required accounts were not delivered by the applicable deadline, they become overdue in the same way as for a trading company. A period of inactivity does not automatically remove the need to file. We can review the company's records and Companies House history to establish which periods remain outstanding and what needs to be prepared.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline has passed. The amount and treatment depend on how late the accounts are, the company's filing history and the relevant rules, so it is not identical in every case. The requirement to file the outstanding accounts and any penalty are separate matters. Where a penalty has been issued, whether an appeal may be available depends on the circumstances and the applicable Companies House rules.

Yes. Paying a late-filing penalty does not settle the underlying filing obligation, and the outstanding accounts still need to be prepared and delivered to Companies House where required. Any other compliance matters, such as keeping company information up to date, are dealt with separately. An accountant cannot automatically reduce, remove or cancel a Companies House penalty, but we can review your position and explain the options that may apply.

In many cases each outstanding accounting period needs its own set of accounts prepared and filed, so resolving the position may involve working through more than one year of records and agreeing the figures that carry forward between periods. Filing one set of accounts does not by itself resolve the other outstanding periods. How long the work takes depends on the number of periods involved and the quality of the information available, and we will set out what is required once we have reviewed the position.

Overdue accounts do not, by themselves, mean that a company's status has changed or that it has been removed from the Companies House register. However, Companies House may take action against companies that repeatedly fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been issued, or the company has been dissolved, the matter usually needs to be considered separately and restoration or legal advice may be required.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where they are due. Filing overdue accounts with Companies House does not automatically satisfy any outstanding Corporation Tax obligations, and the two are handled as separate compliance matters. A confirmation statement is also separate from annual accounts: it is submitted to Companies House to confirm the company's details and may still need to be filed.

Some companies may qualify for the micro-entity framework and, where eligible, could prepare accounts under FRS 105, the financial reporting standard that applies to qualifying micro-entities. Eligibility depends on the company's size, structure and accounting period and should be confirmed rather than assumed. Micro Entity Accounts works with directors in Tonbridge Kent to establish which periods are outstanding, prepare the accounts under the appropriate framework, review them with you and deliver them to Companies House where required.
