The deadline itself varies depending on the accounting reference period and the company's particular circumstances, so the first step is usually to confirm which periods are outstanding rather than assuming a single date applies to every company.

There is rarely one single reason. Directors often tell us that a change of accountant left things in a muddle, that bookkeeping records fell behind, that trading paused unexpectedly, or that a filing deadline simply passed without being noticed. In many cases the underlying information exists but has never been compiled into a set of statutory accounts, which is why a review of the outstanding periods is normally the starting point.

Yes, in most cases the requirement to prepare and deliver the accounts remains even after the deadline has passed. The obligation does not lapse simply because time has moved on, and the accounts generally stay outstanding until they are properly prepared and delivered. Where the company is dormant or has not traded, filing obligations can still apply, so it is worth confirming the position for each period rather than assuming an exemption.

It can. Dormancy and late filing are separate matters. A dormant company may still have an obligation to file annual accounts with Companies House, and if the required accounts were not delivered by the applicable deadline, those accounts can be overdue even though the company did not trade. If you are unsure whether dormant accounts filings are outstanding, we can review the company's records and filing history.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, although the position depends on the circumstances and the length of the delay. Paying a penalty does not remove the requirement to file the outstanding accounts — the penalty and the filing obligation are separate matters. Any appeal against a penalty is also considered on its own merits against the applicable Companies House rules.

Where several periods are outstanding, each one may need to be prepared and filed separately, and resolving a single period does not automatically clear the others. We normally map out the outstanding periods first, confirm the reporting basis that applies to each, and then work through them in a sensible order. The information needed can differ from one period to the next, so we will set out what is required as we go.

Some companies may qualify for the micro-entity reporting framework, which follows FRS 105, but eligibility depends on the company's circumstances and must be assessed before the accounts are prepared. Not every small company qualifies, and a company that was previously eligible may fall outside the thresholds in a later period. We confirm the appropriate framework for each accounting period, whether that turns out to be micro-entity accounts or another form of statutory accounts.

They are separate compliance obligations. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable — filing one does not satisfy the other. A confirmation statement is also a distinct filing made to Companies House and does not replace overdue accounts.
