I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Are Overdue

Company accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. The deadline is not the same for every company: it depends on the company’s accounting reference period, whether it is filing its first accounts, and other circumstances, so it is always worth checking the specific position for each company rather than assuming. Once that date has gone by, the accounts remain outstanding and still need to be prepared and filed — the filing obligation does not disappear because time has passed, and it is not removed because a company is dormant, has not traded or has no income in the period. In practice, leaving accounts outstanding tends to make matters more complicated rather than less, because records, bank information and prior filings can become harder to reconstruct later. Companies House may also apply late-filing penalties where accounts are delivered after the applicable deadline, and persistent non-compliance with filing obligations can increase the risk of further action being taken against a company. Directors in Sittingbourne who find themselves in this position do not need to work out the entire process alone; we can review which accounting periods are outstanding, confirm what still needs to be prepared and filed, and explain how that fits alongside any separate confirmation statement, Corporation Tax or HMRC matters.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts are overdue when the statutory deadline for delivering them to Companies House has passed and they have not yet been filed. The deadline itself varies depending on the company's accounting reference period and its circumstances, so the starting point is usually to check the company's filing history and the specific period in question. Being overdue is a filing status — it does not, by itself, mean that the company has been struck off or suspended from the register.

In most cases, yes. A dormant or non-trading company can still have annual accounts filing obligations, and dormancy does not automatically exempt a company from filing. Dormancy and overdue filing are separate issues: a dormant company can have overdue accounts if the required accounts were not delivered by the applicable deadline. The precise requirement depends on the company's circumstances and the period concerned, and we can review that with you.

The accounts still need to be prepared and delivered, but Companies House may apply a late-filing penalty where accounts are received after the applicable deadline. The level of any penalty depends on how late the filing is and the company's circumstances, and we would not treat it as a fixed outcome. Paying a penalty does not remove the requirement to file the outstanding accounts — the two matters are separate.

Where a company has more than one outstanding period, each set of accounts generally needs to be prepared and filed separately, so it is common for us to work through them in sequence. The information required can differ from one period to the next, particularly if records are incomplete or if earlier accounts were never finalised. Filing one set of accounts does not automatically resolve the others.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action being started. That is not automatic, and many companies resolve the position by bringing their filings up to date. If a strike-off notice has already been issued, or if the company has been dissolved, the situation usually needs separate consideration and possibly legal advice rather than being treated as a straightforward overdue filing.

It depends on the company and the period being prepared, but typically we would ask for bookkeeping records, bank statements, invoices, expense records, details of any assets or liabilities, previous accounts where they exist, and current company information. The reporting framework also matters: a company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts, and eligibility for the micro-entity framework needs to be confirmed rather than assumed.

No. Statutory accounts are filed with Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing altogether. Bringing overdue accounts up to date does not automatically satisfy Corporation Tax obligations or replace a confirmation statement, so where several matters are outstanding each one may need to be addressed in its own right.

We can review your filing position, identify which accounting periods remain outstanding, and assist with preparing and filing the required accounts with Companies House. Work is carried out by accountants who are fully qualified and regulated by ICAEW, ACCA and AAT, and we will explain clearly what you need to provide and what will be submitted on your behalf. Pricing is set out on a simple fixed-fee basis with no hidden costs, and any documents requiring your review or authorisation will be sent to you before submission.
