We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

Understanding Overdue Company Accounts Filing and Why Prompt Action Helps

Company accounts become overdue when the statutory filing deadline for a particular accounting period passes without the required accounts having been delivered to Companies House. The deadline is not the same for every company — it is worked out from the company’s accounting reference date, whether it is a first set of accounts, and other factors set out in the applicable rules — so it is worth checking the specific due date attached to your company’s filing rather than assuming a general rule applies. Once that date has passed and the accounts remain outstanding, the company’s Companies House record will show the filing as overdue until the accounts are properly prepared and delivered. Dealing with outstanding accounts sooner rather than later is usually the sensible approach. A company with more than one overdue period may need several sets of accounts prepared and filed before its record is brought up to date, and the longer a filing remains outstanding, the more involved the position can become. Late-filing penalties can apply where accounts are delivered after the deadline, and the requirement to file and any penalty that arises are separate matters — settling a penalty does not remove the obligation to file. Persistent failure to meet filing obligations can also increase the risk of further action from Companies House, including strike-off action in more serious cases, although an overdue filing does not by itself mean a company has been dissolved or removed from the register. The exact position depends on the company’s circumstances, its filing history and the periods involved, so it is worth reviewing those details properly before deciding how to proceed.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the statutory filing deadline for an accounting period has passed and the required accounts have not been delivered to Companies House. It does not mean the company has been dissolved, suspended or removed from the register — it means the filing is outstanding, and the company's Companies House record will show it as such until the accounts are prepared and filed. The deadline itself depends on factors such as the accounting reference date and whether these are the first accounts, so it is worth confirming the specific due date that applies to your company.

In practice, accounts are usually late because records have fallen behind, a filing reminder has been missed, the person dealing with the accounts has changed, or a director has assumed that a quiet or non-trading period means nothing needs to be filed. Companies with several periods outstanding can also find that earlier accounts depend on information that is assembled later, which slows everything down. None of these situations removes the filing obligation, and the earlier the position is reviewed, the easier it usually is to work through.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, the accounts are overdue even though the company did not trade. If your company has been dormant, it is worth checking whether accounts were due and whether anything else, such as a confirmation statement, also remains outstanding.

Delivering accounts after the deadline means the filing is late, and Companies House can impose a late-filing penalty in line with its published rules. That penalty is not optional, and it is handled separately from the filing itself — paying a penalty does not remove the requirement to deliver the accounts. Persistent failure to meet filing obligations can also increase the risk of further action from Companies House, depending on the circumstances.

Yes. The penalty and the filing obligation are separate matters. Any penalty that applies remains payable, and the outstanding accounts still have to be prepared and delivered to Companies House. Where a penalty has been issued, appealing it is a separate process and eligibility depends on the circumstances and the applicable Companies House rules — an accountant cannot automatically reduce, cancel or remove a penalty.

Each outstanding accounting period generally needs to be addressed separately, which may mean preparing and filing more than one set of accounts. Filing one period does not automatically clear the others. It is also worth remembering that statutory accounts, Corporation Tax Returns such as CT600 and confirmation statements are separate compliance matters with different destinations — accounts and confirmation statements go to Companies House, while CT600 returns are submitted to HMRC where applicable. We can review the outstanding periods with you and set out what each one requires.

Some companies with overdue accounts may qualify for the micro-entity reporting framework set out in FRS 105, but not every company does. Eligibility depends on the company's size, legal structure, accounting period and circumstances, and small-company accounts or another applicable form of statutory accounts may be the correct route instead. We consider the company's position before deciding which reporting framework applies.

We help directors in Saltburn By The Sea, and elsewhere in the UK, work through overdue filings by reviewing what is outstanding, preparing the accounts for each relevant period and assisting with the Companies House filing. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we work on clear, transparent pricing. We will explain what information we need, ask you to review and authorise the accounts before anything is submitted, and keep you informed as the position is brought up to date.
