Once that deadline has passed and the accounts remain outstanding, the company is in an overdue filing position. Being overdue does not automatically change the company's status on the register — it means an outstanding filing obligation is still unmet and needs to be addressed.

There are several common reasons. A director may have assumed the company was too small to file, or that dormant or non-trading periods carried no filing obligation. In other cases, bookkeeping records were incomplete, an accountant was never appointed, or filing reminders were sent to a former address. Whatever the reason, the position depends on the company's circumstances, and the starting point is to establish which accounting periods remain outstanding and what has already been delivered to Companies House.

Yes, dormancy and overdue filing are separate matters. A dormant company can still have annual accounts filing obligations, and if the required accounts were not delivered by the applicable deadline, that company can have overdue accounts. Dormant status does not remove the need to file where a filing obligation exists, although the accounts themselves may be prepared on a simpler basis depending on the company's circumstances and eligibility.

Companies House can apply a late-filing penalty when accounts are delivered after the applicable deadline. Penalty amounts and how they are calculated depend on how late the accounts are and the company's filing history, so not every company faces the same outcome. The requirement to file the outstanding accounts and any penalty that may apply are separate matters, and we can review your circumstances and explain what is involved.

Yes. Paying a penalty does not satisfy the underlying filing obligation. The accounts must still be prepared and delivered to Companies House where required, and the penalty does not remove or cancel that requirement. An accountant cannot automatically reduce, remove or cancel a Companies House penalty, and any appeal depends on the circumstances and the applicable Companies House rules.

Where more than one accounting period is outstanding, each period generally needs to be prepared and filed separately, and filing one set of accounts does not automatically resolve the others. The work usually involves rebuilding the figures period by period, which is why having bank statements, invoices and any earlier records available makes a real difference. Submitting overdue accounts to Companies House does not automatically satisfy HMRC Corporation Tax obligations, and a company may also need to deal separately with its confirmation statement and keep its Companies House information up to date.
