What Overdue Company Accounts Mean for Your Limited Company

Company accounts generally have to be delivered to Companies House by the statutory deadline that applies to your company’s accounting reference period. Once that date passes and the required accounts have not been delivered, the accounts are treated as overdue. Filing deadlines are not identical for every company — they can depend on the accounting reference date, whether it is a first set of accounts, and other circumstances — so the sensible starting point is to check the company’s own filing history and its Companies House record. Overdue accounts do not resolve themselves, and they should not be set aside simply because the company is dormant, has not traded or has no current income. A dormant company can still have annual accounts filing obligations, quite separately from whether it has been active. Leaving accounts outstanding may lead to late-filing penalties, and continued non-compliance can increase the risk of further action by Companies House. The reporting framework also depends on the company’s structure and circumstances: some companies prepare micro-entity accounts under FRS 105, others prepare small-company accounts or another applicable form of statutory accounts, and eligibility has to be considered before anything is prepared. Overdue company accounts are statutory accounts that should have been delivered to Companies House by the applicable filing deadline but have not been submitted by that date. The accounts themselves are usually the annual accounts for a specific accounting reference period. Once the deadline has passed and delivery has not taken place, the filing is treated as outstanding, regardless of whether the company is trading, dormant or simply quiet at the moment.

Yes. In most cases the filing obligation continues until the required accounts are prepared and delivered to Companies House where required. An overdue position does not remove the duty to file. Where the company has more than one outstanding accounting period, each period generally needs to be addressed separately, as one set of accounts will not normally resolve the others.

It can. Dormancy and overdue filing are separate matters. A dormant company may still have annual accounts filing obligations with Companies House, and if those accounts were not delivered by the applicable deadline, the filing becomes overdue in the same way as for a trading company. Whether any exemption or reduced reporting applies depends on the company's circumstances and the relevant requirements.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline. The penalty that may apply depends on the circumstances, including how late the accounts are, and not every company will face the same outcome. A penalty, where issued, is a separate matter from the requirement to file the outstanding accounts — dealing with one does not automatically deal with the other.

No. Paying a penalty does not remove or cancel the underlying requirement to prepare and deliver the outstanding accounts. The two issues are dealt with separately: the filing obligation continues until the accounts have been submitted, and any penalty is a distinct matter. Where a penalty appeal is being considered, eligibility depends on the circumstances and the applicable Companies House rules.

Where more than one period is outstanding, several sets of accounts may need to be prepared and filed. The order in which they are dealt with and the information required can vary, and filing one set does not automatically clear the others. We can review the filing history, establish which periods remain outstanding and work through them in a sensible sequence.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. That said, an overdue filing does not automatically mean a company will be dissolved. If a strike-off notice has already been received, or if the company has been dissolved, the position may need separate restoration or legal advice rather than being treated as an ordinary overdue accounts filing.

Some companies may qualify to prepare micro-entity accounts under FRS 105, and that framework can be used for an overdue filing where the company is eligible for the relevant period. Not every company qualifies, though, and eligibility depends on the company's structure, size and circumstances. A company that is small may instead prepare small-company accounts or another applicable form of statutory accounts, so the framework needs to be confirmed before preparation begins.
