Company accounts generally have to be delivered to Companies House by the statutory deadline that applies to the company’s accounting reference period. When that date passes and the required accounts have still not been delivered, the accounts become overdue. The relevant deadline is not identical for every company — it depends on factors such as the accounting reference period, whether it is a first set of accounts, and the company’s own reporting circumstances — so the starting point is always to check what is actually due and what Companies House currently holds on file. Leaving accounts outstanding tends not to resolve itself. The filing obligation usually remains in place, and Companies House can impose late-filing penalties when accounts are delivered after the applicable deadline, with the consequences becoming more significant the longer a filing stays outstanding. Dormancy makes no difference here: a dormant company can still have annual accounts filing obligations, and dormancy does not by itself mean accounts are exempt from filing. Company accounts are overdue when the statutory filing deadline for a set of accounts has passed and those accounts have not yet been delivered to Companies House. The deadline itself depends on the company's accounting reference period and its individual circumstances, so it is not the same date for every company. Being overdue does not mean the company has been suspended, dissolved or removed from the register — it means the required filing has not been made.

In most cases, yes. Where a company has an outstanding statutory filing obligation, the accounts still need to be prepared and delivered to Companies House subject to the applicable requirements. Allowing accounts to remain outstanding generally does not remove that obligation, and any late-filing penalty that may apply is a separate matter from the requirement to file. We can review which periods are outstanding and prepare the accounts that are due.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations, and if it failed to deliver the required accounts by the applicable deadline, those accounts are overdue. Dormant status does not automatically exempt a company from filing, although the form of accounts a dormant company needs to prepare depends on its circumstances.

Where accounts are delivered to Companies House after the applicable deadline, Companies House can impose a late-filing penalty. Penalty bandings and amounts are not the same in every case and depend on factors such as how late the filing is and the company's circumstances, so we would not quote a figure without reviewing the position. The longer accounts remain outstanding, the more serious the consequences may become, which is why addressing them promptly is usually the sensible approach.

No. Paying a late-filing penalty does not cancel the underlying obligation to prepare and deliver the outstanding accounts. The filing requirement and the penalty are separate matters, and settling one does not resolve the other. Equally, an accountant cannot automatically reduce, remove or cancel a Companies House penalty — whether an appeal is possible depends on the circumstances and the applicable Companies House rules, and we can review that with you where relevant.

Each outstanding accounting period generally needs to be dealt with separately, so several sets of accounts may need to be prepared and filed. Filing one period does not automatically resolve the others, and the information required for each period will depend on the records available for that year. We can map out exactly which periods are outstanding before any preparation work begins, so the sequence is clear from the start.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. That said, not every company with overdue accounts will be dissolved automatically. Filing the outstanding accounts does not guarantee that strike-off action will be prevented or reversed. If your company has already received a strike-off notice, or has been dissolved, the position may require separate restoration or legal advice rather than an ordinary overdue filing.

Some companies may qualify to prepare accounts under the micro-entity framework, with FRS 105 being the financial reporting standard that applies to qualifying entities using that framework. Eligibility depends on the company's legal structure, accounting period, size and reporting framework, so it cannot be assumed that every small or overdue company qualifies. An overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts. We assess eligibility before deciding how the accounts should be prepared and filed.
