Being overdue does not remove the obligation to file: the accounts still need to be prepared and delivered, and the outstanding position should be addressed as soon as it reasonably can be. Where more than one period is outstanding, each one may need to be dealt with separately.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations with Companies House, and if the required accounts were not delivered by the applicable deadline, those accounts can be overdue. Dormant status does not automatically mean the accounts are exempt from filing, so it is sensible to check the company's Companies House record and confirm what remains outstanding rather than assuming nothing needs to be done.

When accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty.
