Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is determined by reference to the company’s accounting reference period rather than one date that fits every business. Once that deadline has passed and the required accounts have not been delivered, those accounts are treated as overdue. The reasons vary: a director may have assumed the filing date sat later in the year, a change of bookkeeper or accountant may have left the records half-finished, a dormant or quiet trading period may have been mistaken for a year in which nothing needed filing, or the person who previously handled the company’s compliance may no longer be involved. Whatever the background, the obligation to prepare and deliver the accounts does not go away on its own, and the position tends to become more involved the longer it is left — Companies House reminders, potential late-filing penalties under its own rules, and where non-compliance continues, a greater risk of compulsory strike-off action being considered. How far any of that applies depends on the company’s individual circumstances, how many periods are affected and how promptly the company responds, so it is sensible to have the position reviewed properly rather than assuming the worst or assuming nothing will follow. It is also worth remembering that accounts filed at Companies House and any Corporation Tax Return submitted to HMRC are separate matters, so one does not automatically resolve the other.

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. That deadline is set by reference to your company's accounting reference period and its own circumstances, so it is not the same date for every company. If you are not certain whether accounts are genuinely outstanding, the Companies House record for the company will show what has already been filed and what is still expected. Once you know where you stand, the practical step is to get the outstanding accounts prepared and delivered.

In most cases, yes. Dormancy and overdue filing are separate issues — a dormant company can still have an annual accounts filing obligation, and if the required accounts were not delivered by the applicable deadline, they can become overdue just as they would for a trading company. Dormant companies may be able to file a simpler set of accounts depending on their circumstances, but dormancy does not remove the filing requirement by itself. We can look at the company's position and confirm what needs to be prepared.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the level of that penalty is determined by Companies House under its own rules rather than by us. Paying a penalty does not remove the requirement to prepare and file the accounts that are still outstanding, so the two matters need to be dealt with separately. Where you believe there may be grounds for an appeal, eligibility depends on the circumstances and the applicable Companies House rules, and we can review that with you where it is relevant.

Generally yes. Where several accounting periods have passed without accounts being delivered, each outstanding period may need to be addressed separately, with its own set of statutory accounts prepared and filed at Companies House. Filing one period does not automatically clear the others. It usually makes sense to work through them in date order, starting with the earliest outstanding period, so the company's records and filings build up in a logical sequence and any follow-up queries are easier to answer.

Overdue accounts do not, by themselves, change a company's status. However, Companies House may take action against companies that persistently fail to meet their filing obligations, and continuing non-compliance can increase the risk of compulsory strike-off action being considered. We cannot guarantee that filing outstanding accounts will prevent or reverse any action already under way. If a strike-off notice has been issued or the company has been dissolved, that situation may need separate restoration or legal advice, so please tell us about it at the outset.

No, these are two distinct filings. Statutory accounts are prepared and delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Submitting overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations, and filing a return with HMRC does not clear the Companies House position. Where both are overdue, they are treated as separate compliance matters, and we can help you understand what is outstanding on each side.

No. A confirmation statement is a separate filing submitted to Companies House, and it does not take the place of annual accounts. Filing overdue accounts does not automatically discharge any confirmation statement that is also due, and the company will generally still need to keep its Companies House information up to date. When we look at your accounts position, we can flag anything else that appears to be outstanding so nothing is overlooked.

Some companies may qualify for the micro-entity reporting framework, and where a company qualifies, overdue accounts for a relevant period may be able to be prepared on that basis. It is not automatic — eligibility depends on factors such as the company's size, its legal structure and the accounting period concerned, and each set of accounts has to be prepared under the correct framework for that period. FRS 105 is the financial reporting standard that applies to qualifying entities using the micro-entity framework. We will check eligibility before deciding how the accounts should be prepared.
