What Makes Company Accounts Overdue, and Why Acting Promptly Matters

Company accounts have to be delivered to Companies House by the applicable statutory deadline, which is based on the company’s accounting reference period and its own circumstances rather than a single date that applies to everyone. Once that deadline passes and the required accounts have not been delivered, the accounts are overdue — even if the company has not traded, has no income, or the director simply forgot. Directors remain responsible for bringing the position up to date, and the longer outstanding accounts are left unresolved, the more the matter tends to grow, particularly where more than one accounting period is affected. Bringing a company back up to date usually means preparing the statutory accounts for each open period and filing them with Companies House where required, then checking whether anything else is outstanding, such as confirmation statements or Corporation Tax matters with HMRC. The accounts that apply will depend on the company’s structure, size, reporting framework and accounting period, so an overdue set of accounts is not automatically a micro-entity set. Late filing can also lead to a Companies House penalty, which is dealt with separately from the filing itself, and where filing obligations have been missed for some time, Companies House may consider further action under its own rules. Accounts become overdue when the applicable filing deadline has passed and the required accounts have still not been delivered to Companies House. It is not a judgement about the company's trading position or profitability — the deadline is set by reference to the company's accounting reference period and circumstances, and once it passes without the accounts being filed, the filing is outstanding.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have an annual accounts filing obligation with Companies House, and where those accounts were not delivered by the applicable deadline, they become overdue in the same way. There is no general exemption from filing simply because a company has not traded, so it is worth checking what remains outstanding rather than assuming nothing is due.

In most cases, yes. The requirement to prepare and deliver the accounts does not disappear because the deadline has been missed, and an accountant cannot make an outstanding filing go away. Where a company also has Corporation Tax obligations, such as a CT600 Corporation Tax Return for HMRC, that is a separate compliance matter from the Companies House filing, and a confirmation statement is separate again. We can review which filings relate to your company and in what order they are best addressed.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The penalty that applies, if any, is not the same for every company — it can depend on factors such as how late the accounts are and the type of company involved. Paying a penalty does not cancel the requirement to file the accounts, because the penalty and the filing obligation are separate. Whether a penalty can be appealed depends on the circumstances and the applicable Companies House rules.

Where more than one accounting period is outstanding, each period generally needs to be prepared and filed separately, and filing one set of accounts does not resolve the others. The order in which they are dealt with can depend on the company's filing history and the information available. We would normally start by reviewing the Companies House record and your accounting records to establish exactly how many periods are open, then work through them in a sensible sequence.

Overdue accounts do not automatically mean a company is suspended, dissolved or removed from the register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Filing outstanding accounts does not guarantee that any such action will be prevented or reversed. If you have received a strike-off notice, or the company has already been dissolved, the situation may need separate restoration or legal advice rather than being treated as a routine overdue filing.

Some companies may qualify for the micro-entity reporting framework, but not every company does, and eligibility depends on the company's legal structure, accounting period and circumstances. Where a company qualifies, micro-entity accounts prepared under FRS 105 — the financial reporting standard that applies to qualifying entities using that framework — may be appropriate for the overdue period. If it does not qualify, small-company accounts or another applicable form of statutory accounts may be required instead. We confirm the position before preparing anything.

It varies by company and by the accounting period being prepared. In most cases we would ask for bookkeeping records, bank statements, invoices, expense records, details of any assets or liabilities, previous accounts where available, and current company information. If records are incomplete, we can discuss what is workable. Once the accounts are prepared, we share them with you for review and confirmation before anything is submitted, and we can then assist with the relevant Companies House filing.
