Company accounts — sometimes called statutory accounts or annual accounts — are generally required to be delivered to Companies House by the applicable filing deadline. That deadline is linked to the company's accounting reference period and can vary depending on the company's circumstances, so not every company is working to the same date. When the deadline passes and the required accounts have not been delivered, they become overdue. Overdue accounts are not a statement about the company's status; they simply mean the filing obligation has not yet been met.

In most cases, yes. The obligation to prepare and deliver accounts generally remains, even where the deadline has passed, and even where the company has been dormant or inactive during the period. Depending on the company's size, accounting period and legal structure, the accounts may have originally needed to be prepared under the micro-entity framework, as small-company accounts or as another applicable form of statutory accounts — this has to be assessed rather than assumed. We can review your position and confirm what is required for each outstanding period.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts can be overdue. Dormant status does not automatically remove the requirement to file annual accounts, although the accounts themselves may be prepared on a different basis to those of a trading company. Where a company has been dormant for part of a period and active for the rest, the position needs to be looked at carefully.

Where accounts are delivered to Companies House after the applicable deadline, a late-filing penalty may apply under the Companies House rules. Penalty levels are not the same in every case and depend on factors such as how late the accounts are and the company's filing history. Paying a penalty does not remove the requirement to file the outstanding accounts — the penalty and the filing obligation are separate matters. Where a company believes a penalty was issued incorrectly, appeal eligibility depends on the circumstances and the applicable Companies House rules.

Often they can be worked through in a planned way, but each outstanding accounting period generally needs its own set of accounts prepared and delivered. Filing one period does not automatically resolve the others. We usually begin by checking the company's Companies House record to establish exactly which periods remain outstanding, then agree an order of work. The records needed will depend on the periods involved and the information available, so the practical steps vary from company to company.

A warning or strike-off notice does not mean the company has already been dissolved, but it does indicate that Companies House considers filing obligations unmet. Accounts can still be prepared and delivered in many cases, and we can assist with getting the outstanding filings into order. We cannot guarantee that filing will prevent or reverse strike-off action, and where a company has already been dissolved, the position may need separate restoration or legal advice rather than being treated as an ordinary late filing. We will be clear with you about what we can and cannot do.

Yes — these are distinct compliance matters. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Submitting overdue accounts to Companies House does not satisfy any outstanding Corporation Tax obligations. A confirmation statement is also separate: it is filed with Companies House and does not replace annual accounts. A company dealing with overdue accounts may therefore need to address several filings at the same time, and we can help identify what is outstanding.
