I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is normally based on the company’s accounting reference period and its individual circumstances. Once that date passes without the required accounts being delivered, the accounts are treated as overdue — the filing is simply late, even though the company itself may be trading normally. Directors often find themselves here for practical reasons: a change of accountant, incomplete bookkeeping records, a period of inactivity, or uncertainty about which reporting framework applies. Whatever the reason, the obligation to prepare and deliver the accounts does not disappear. Companies House can apply a late-filing penalty where accounts are delivered after the deadline, and the longer an outstanding period is left unaddressed, the more serious the consequences may become, including a greater risk of strike-off action for persistent non-compliance. Filing the outstanding accounts and settling any penalty are separate matters — paying a penalty does not remove the requirement to file, and filing does not automatically cancel a penalty that has already been charged. Many companies in Newport Pagnell that approach us have more than one accounting period outstanding, and each period generally needs to be prepared and filed separately. The appropriate form of accounts depends on the company’s legal structure, size, accounting period and eligibility — some companies may have been required to prepare micro-entity accounts under FRS 105, while others need small-company accounts or another applicable form of statutory accounts. We review your circumstances first, then explain what is required and how we will deal with it.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts become overdue when the statutory filing deadline for a set of annual accounts has passed and those accounts have not yet been delivered to Companies House. It does not mean the company has been dissolved or removed from the register — it means the filing obligation remains outstanding and needs to be dealt with. The deadline itself depends on the company's accounting reference period and its circumstances, so it is worth checking your company's filing history rather than assuming.

There is rarely a single reason. Common causes include a change of accountant part-way through the year, incomplete bookkeeping records, a dormant or quiet trading period that nobody followed up, or genuine uncertainty about which reporting framework the company should use. Occasionally directors simply miss the reminder. Whatever the cause, we can review the position and establish which periods remain outstanding.

In most cases, yes. A dormant company can still have annual accounts filing obligations, and dormancy does not automatically remove the requirement to deliver accounts to Companies House. Dormancy and overdue filing are separate issues — a company can be dormant and still have overdue accounts if the required accounts were not filed by the applicable deadline. Whether a formal dormancy exemption applies depends on the company's circumstances.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that applies, if any, depends on the length of the delay and the company's filing history, so we would not assume a specific figure. It is also worth being clear that any penalty and the requirement to file the outstanding accounts are separate matters — dealing with one does not resolve the other. Where a penalty appeal might be considered, eligibility depends on the circumstances and the applicable Companies House rules.

Each outstanding accounting period generally needs to be prepared and filed as its own set of accounts, so a company with several overdue periods may need multiple filings. Filing one period does not automatically clear the others. We usually work through the earliest outstanding period first and then move forward, so the company's records and Companies House history are brought into line in a logical order. The information needed for each period can vary depending on the company's activity and records.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. That said, an overdue filing does not automatically mean the company will be dissolved or removed from the register. If a strike-off notice has already been issued, or the company has been dissolved, the position may need separate restoration or legal advice rather than being treated as a straightforward overdue filing.

Possibly, but not automatically. Some companies with outstanding accounts qualify for the micro-entity reporting framework under FRS 105, while others need small-company accounts or another applicable form. Eligibility depends on the company's size, legal structure, accounting period and the reporting framework it has used previously. We check this before preparing anything, so the accounts are prepared on the correct basis for the period in question.

They are separate compliance matters. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable — filing accounts with Companies House does not satisfy an outstanding Corporation Tax obligation, and vice versa. A confirmation statement is also a distinct filing and is not replaced by filing overdue accounts. If more than one of these is outstanding, each needs to be addressed, and we can review the full picture with you.
