Being overdue is a statement about the filing position rather than about the company's status, and the obligation to prepare and deliver the accounts remains. The deadline itself depends on the company's accounting reference period and its circumstances rather than being the same for every company.

There is rarely a single explanation. Directors sometimes overlook the filing date, move from one accountant to another, deal with illness or a change in personal circumstances, or find that bookkeeping records are incomplete and the accounts cannot be finished in time. Some companies are unsure which reporting framework applies to them. Whatever the reason, the accounts remain outstanding until they are prepared and delivered, and there is no automatic exemption simply because the delay was unintentional.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have Companies House filing obligations, and if the applicable deadline passed without the required accounts being delivered, those accounts may be overdue. Dormant accounts are not the same thing as overdue accounts, and dormant status does not by itself remove the requirement to file where the company is obliged to do so.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty position depends on the circumstances and the relevant Companies House rules rather than being identical in every case. The longer accounts remain outstanding, the more serious the consequences may become, including an increased risk of action by Companies House against persistent non-compliance. Filing the outstanding accounts is what brings the filing position up to date.

Yes. The requirement to file the outstanding accounts and any applicable penalty are separate matters. Paying a penalty does not remove the obligation to prepare and deliver the accounts, and it does not mean the filing position has been resolved. Companies House can also take action against a company that continues to fail to meet its filing obligations, so the accounts themselves still need to be dealt with.

Each outstanding accounting period may need to be addressed separately, which can mean preparing more than one set of statutory accounts. Filing one set does not automatically resolve the others, so it helps to establish the full picture first. The work involved, and the order in which the periods are tackled, depend on the records available and the company's circumstances. We can review the position and confirm what is required.

Some companies may qualify for the micro-entity reporting framework, and where they do, micro-entity accounts can be prepared for an overdue filing. FRS 105 is the financial reporting standard that applies to qualifying entities using that framework. Eligibility is not automatic, however: the company's legal structure, accounting period, size and qualifying criteria all need to be considered before the appropriate framework is confirmed.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. A confirmation statement is a separate Companies House filing and is not replaced by filing overdue accounts. Where a company also has outstanding Corporation Tax or confirmation statement obligations, those are separate compliance matters and may need to be dealt with alongside the accounts.
