I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Are Overdue

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not yet been delivered to Companies House. The deadline itself is not the same for every company — it depends on factors such as the accounting reference period, whether it is a first set of accounts, and the company’s particular circumstances — so the starting point is usually to establish exactly which periods are outstanding and what was due. Overdue Company Accounts Filing in Minehead is something directors often put off because they are unsure where to begin, but the position rarely improves with time: Companies House may impose a late-filing penalty where accounts are delivered after the deadline, and persistent non-compliance can increase the risk of further action. Dormant companies are not automatically exempt either, since a dormant company can still have annual accounts filing obligations. Bringing the records up to date usually means preparing statutory accounts for each outstanding period, which may be micro-entity accounts under the micro-entity framework, small-company accounts, or another applicable form of accounts depending on the company’s size, reporting framework and eligibility. Filing with Companies House is also separate from Corporation Tax: any CT600 Corporation Tax Return due to HMRC, and any confirmation statement due at Companies House, are distinct compliance matters that may need to be dealt with alongside the outstanding accounts.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

£375
£750
3 to 6 months late

£1,500
More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the statutory deadline for delivering a set of accounts to Companies House has passed and those accounts are still outstanding. It does not mean the company has been removed from the register, nor does it automatically mean any penalty has been applied — the practical point is that a required filing has not yet been made and needs to be addressed.

The reasons vary. Directors sometimes assume nothing is due because the company has not traded, or because they expected their accountant to file. In other cases, bookkeeping records are incomplete, the accounting period is unclear, or a previous adviser has stopped acting. Whatever the cause, the first step is usually to confirm which accounting periods remain outstanding on the Companies House record and what was required for each.

Yes. Where accounts were required and were not delivered by the applicable deadline, the obligation to prepare and file them does not disappear. What is required for each period depends on the company's size, reporting framework, accounting period and circumstances, so the appropriate form of accounts — which may be micro-entity accounts for a qualifying company, small-company accounts, or another applicable framework — needs to be confirmed before preparation begins.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still be required to deliver annual accounts to Companies House, and if that filing was missed, those accounts can be overdue in the same way as any other company's. Dormant status does not by itself remove the filing requirement.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline, and the longer a filing remains outstanding, the more serious the position may become. Penalty levels are not identical in every case and depend on the circumstances and the applicable rules at the time of filing. Filing the accounts and dealing with any penalty are separate matters.

Yes. Paying a penalty does not remove the requirement to deliver the outstanding accounts. The accounts still have to be prepared and filed, and we cannot treat a penalty payment as a substitute for that filing. Where an appeal against a penalty is being considered, eligibility depends on the circumstances and the applicable Companies House rules — we can review the position with you, but we cannot guarantee any particular outcome.

Each outstanding period generally needs to be addressed separately, so several sets of accounts may need to be prepared and delivered. Filing one set does not automatically resolve the others, and the sequence matters because later periods usually depend on the figures from earlier ones. We will map out what is outstanding and work through it in a logical order, although the information available for older periods sometimes needs reconstructing from bank statements, invoices and other records.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations, and those HMRC matters may need to be handled separately. Likewise, a confirmation statement is a distinct filing and is not replaced by submitting overdue accounts.
