FRS 105 Micro Entity Accounts in Worcester: Prepared Clearly and Correctly

FRS 105 Micro Entity Accounts provide the financial reporting framework for companies that qualify for the UK micro-entities regime and choose to apply it. Many owner-managed limited companies in Worcester look at the micro-entities regime because it offers a simpler basis for preparing financial statements, but eligibility is not automatic — it depends on the company’s size and on a range of other rules and exclusions that can apply. Professional preparation helps make sure the accounts are put together on the right basis for your company’s particular circumstances, that the figures tie back to your underlying records, and that the financial statements are presented in the format expected of a micro-entity when they are filed at Companies House. It also gives you the opportunity to ask questions about how your accounts fit together with your other company filing obligations, so you are not left guessing about what has been prepared or why.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── FRS 105 EXPLAINED

FRS 105 Explained: What the Micro-Entities Regime Means for Your Company

In plain terms, FRS 105 is the UK accounting standard written for micro-entities. It sits inside the micro-entities regime, a framework created to reduce the reporting burden on the very smallest companies. Rather than working through the fuller recognition, measurement and disclosure requirements found in standards such as FRS 102, a company that qualifies for the regime and chooses to use it prepares a simpler set of financial statements — typically a balance sheet, a profit and loss account and a limited set of notes. FRS 105 applies when that regime is used; it is not a default position and it is not available to every small company. If your Worcester company looks as though it might qualify, we can explain what FRS 105 Micro Entity Accounts would include, what the alternatives look like, and how the accounts feed into the rest of your company’s reporting and filing.

Who Can Use FRS 105 in the UK? Companies That Qualify For and Choose the Micro-Entities Regime

FRS 105 is intended for companies that qualify for the UK micro-entities regime and decide to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Those figures are a starting point rather than the whole test. Other eligibility rules and exclusions can apply, and some types of company cannot use the regime at all regardless of size. Meeting the size conditions does not automatically guarantee eligibility, and it does not oblige you to use FRS 105 — it remains a choice. If you are unsure where your Worcester company stands, we can review your circumstances and explain whether FRS 105 Micro Entity Accounts, or a different framework, is likely to be the better fit.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Micro Entity Accounts and Accurate Financial Reporting

Professionally prepared FRS 105 Micro Entity Accounts are built from your company’s financial records and prepared in line with the applicable reporting requirements for micro-entities. That typically starts with accurate bookkeeping — bank transactions, sales and purchase records, payroll information, and details of assets, loans and director balances — and moves through to a set of financial statements that reflect your company’s position for the accounting period. Where filing is required, the accounts are submitted to Companies House, which is a separate process from your Corporation Tax obligations, including the CT600 and any Corporation Tax payments due to HMRC. Because the micro-entities regime has its own rules on what must be included and disclosed, working with someone who deals with FRS 105 regularly helps reduce the risk of errors, omissions or a filing that has to be corrected later. You get clear, transparent pricing and a straightforward explanation of what has been prepared and why, without unnecessary jargon.

FRS 105 is the UK financial reporting standard for companies that qualify as micro-entities and choose to apply the micro-entities regime. It sets out a simplified basis for preparing financial statements, with far fewer disclosure requirements than the standards used by larger companies. FRS 105 applies when a qualifying company decides to use that regime — it is not something that applies automatically to every small company, and it is not the same thing as a Corporation Tax Return or a Confirmation Statement.

FRS 105 is available to companies that meet the micro-entity size conditions and are not excluded from the regime for another reason, since certain types of entity cannot use it regardless of their size. A company also has to choose to apply the micro-entities regime. Meeting the size tests does not automatically mean FRS 105 must be used — an eligible company could instead report under a different framework such as FRS 102, depending on what suits its circumstances and its users.

No. The micro-entities regime is an available accounting regime, and FRS 105 applies when a qualifying company chooses to use it. Some directors prefer the simplicity of FRS 105, while others prefer a fuller framework because of the way certain items are treated or because of what lenders, investors or other users want to see. If your company does not qualify for the regime, FRS 105 is not an option at all, regardless of preference.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Those conditions are a starting point rather than the full test. Other rules and exclusions can apply, so it is worth checking your company's specific position before assuming it qualifies for FRS 105 Micro Entity Accounts.

FRS 102 is the standard used by most small and medium-sized companies and contains fuller recognition, measurement and disclosure requirements. FRS 105 is a much shorter framework restricted to qualifying micro-entities, and some accounting treatments available under FRS 102 are not available under FRS 105. In practice, FRS 105 accounts are simpler and less detailed, which is precisely why the regime exists — but the trade-off is less flexibility and less information in the financial statements.

Yes. A company that prepares its accounts under FRS 105 still has to file accounts with Companies House in the usual way, and micro-entity accounts are filed in a prescribed format. Filing accounts is a separate administrative obligation from filing a Confirmation Statement, which is a different document altogether. Submitting accounts to Companies House does not mean that Companies House reviews, approves or endorses the figures — responsibility for the content rests with the company and whoever prepares the accounts.

Yes, they are two different things. FRS 105 governs how the financial statements are prepared and reported, while the CT600 is the Corporation Tax Return submitted to HMRC to report the company's taxable profits and work out the Corporation Tax due. The figures in the accounts normally inform the tax return, but the two are prepared under different rules and filed with different bodies, so both need to be dealt with properly rather than treated as a single exercise.

Typically we need your bank statements and transaction records for the period, sales and purchase records, payroll information if the company employs anyone, and details of assets, loans, director balances, stock or work in progress. Last year's accounts are helpful too, particularly if you are continuing from a previous period. Accurate, complete records make the process smoother and reduce the chance of queries later on, and we will confirm exactly what is required once we understand your company's circumstances.
