FRS 105 is the UK financial reporting standard that applies to companies using the micro-entities regime. It sets out how a qualifying micro-entity measures and presents its annual financial statements, and it is deliberately more streamlined than the standards used by larger companies. Where a company qualifies for the micro-entities regime and chooses to apply it, FRS 105 is the framework used to prepare the accounts.
FRS 105 Micro Entity Accounts are available to companies that qualify for the micro-entities regime and decide to apply it. Qualification is based on size conditions plus the wider eligibility rules, which include certain exclusions. Meeting the size thresholds on their own does not automatically confirm eligibility, so it is worth checking your specific circumstances — particularly if your company has any unusual structures, activities or group relationships.
No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies can choose to apply it, and FRS 105 applies when that choice is made. Some qualifying companies instead prepare accounts under a fuller standard because of the way they report, what their lenders or investors expect, or simply by preference. The decision should be made deliberately rather than assumed.
For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. These are the headline size conditions, and other rules and exclusions can still affect whether the micro-entities regime is available. Different limits have applied to earlier accounting periods.
FRS 105 is the standard for micro-entities and is the more simplified of the two. FRS 102 is the fuller UK standard used by a much wider range of companies, including small companies that do not use the micro-entities regime. FRS 105 offers a lighter approach to measurement and disclosure, while FRS 102 generally requires more detail and gives more accounting options. Which standard applies depends on the regime your company qualifies for and chooses to use.
Yes — where a company prepares FRS 105 Micro Entity Accounts, those financial statements are used for the company's annual accounts filing with Companies House, subject to the normal filing requirements and deadlines. A Corporation Tax Return (CT600) is a separate matter: it is a tax filing submitted to HMRC and is not the same document as the statutory accounts. A Confirmation Statement is a further, different filing again. Keeping these three obligations clearly separated helps avoid confusion.
Typically, you will need complete records for the accounting period: sales and purchase information, bank and cash records, payroll details, details of assets owned or disposed of, loan and finance arrangements, stock or work in progress where relevant, and any amounts owed to or by the company. Opening balances from the previous year, together with any prior-year accounts, are also useful. The more complete and organised the records, the more straightforward the preparation process tends to be.
A newly incorporated company is not automatically a micro-entity simply because it is new. In its first period of trading it may well fall within the size conditions, but eligibility depends on the applicable rules for that period and on whether any exclusion applies. It is usually a good idea to consider the position early in the company's life, since the accounting framework chosen affects how the first set of accounts is put together.
