FRS 105 Micro Entity Accounts in Threemilestone

FRS 105 Micro Entity Accounts in Threemilestone are prepared under the financial reporting standard written specifically for companies that qualify for, and choose to apply, the UK micro-entities regime. Where a company meets the eligibility conditions for that regime, FRS 105 provides a simpler, more proportionate basis for preparing its annual financial statements than the fuller standards used by larger companies. Professional preparation helps to make sure the accounts reflect the company’s actual trading activity, stay consistent with the information held in its accounting records, and are set out in line with the disclosure requirements that apply to a micro-entity. It also means the figures used for Companies House filing and the figures used for your own decision-making start from the same reliable base. Eligibility for the micro-entities regime is not automatic and there are exclusions to consider, so the sensible first step is a straightforward review of your company’s circumstances before any work begins.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── FRS 105 EXPLAINED

FRS 105 Explained: What the Micro-Entities Regime Means for Your Company

FRS 105 is the UK financial reporting standard for micro-entities — a stripped-back, proportionate set of rules that qualifying companies can use instead of FRS 102. It sits alongside the UK micro-entities regime, which is an available accounting regime rather than an obligation: if a company qualifies for it and chooses to apply it, FRS 105 is the standard that governs how its financial statements are prepared. In practice, that means a simpler balance sheet, a simpler profit and loss account and far fewer notes than you would see in full statutory accounts. The trade-off is that FRS 105 accounts are prepared on a historical cost basis with very limited revaluation or fair value adjustments, and some of the accounting options available under FRS 102 are not available here. For an owner-managed business in Threemilestone, the appeal is usually clarity: accounts that are simpler to prepare, easier to read and still meet the legal requirement to prepare and file annual accounts. Choosing FRS 105 is a decision about your reporting framework, not about how much tax the company pays.

Who Can Use FRS 105 in the UK? Eligibility for the Micro-Entities Regime

FRS 105 is intended for UK companies that qualify for the micro-entities regime and choose to apply it, so eligibility is the first question to settle. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Those figures are a starting point rather than the whole test — additional eligibility rules and exclusions can apply, and some types of entity are not able to use the regime at all. Meeting the size thresholds therefore does not guarantee that a company qualifies. Where a company does qualify and decides to apply the micro-entities regime, FRS 105 governs how its FRS 105 Micro Entity Accounts in Threemilestone are prepared, and the choice should be reviewed as turnover, headcount or the balance sheet changes over time.

A company generally needs to meet at least 2 of these 3 conditions.

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

Professionally Prepared FRS 105 Accounts and Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts is about working from good records and applying the right framework. We start with the information you already hold — bookkeeping, bank statements, sales and purchase records, payroll data, asset purchases, loans and directors’ balances — and use it to build a set of financial statements that reflects the company’s position and performance for the period. Each judgement, from how stock is valued to how a fixed asset is treated under the micro-entity rules, is made on the basis of the applicable reporting requirements rather than habit or assumption. Alongside the accounts themselves, we can prepare and submit the statutory accounts to Companies House on your behalf. That filing is separate from your Corporation Tax obligations: a CT600 is a return submitted to HMRC based on the company’s taxable profits and is dealt with as its own exercise, not as part of the accounts filing. We will be clear about which document does what, so nothing is duplicated and nothing is overlooked.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how a qualifying company that has chosen to apply the micro-entities regime prepares its annual financial statements, using a simplified format with a shorter balance sheet, a shorter profit and loss account and minimal note disclosures compared with fuller statutory accounts. It sits alongside FRS 102, which is the standard used by most other companies. FRS 105 does not change your tax position — it changes how your accounts are prepared and presented — and it is not a substitute for a Corporation Tax Return.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the following 3 size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. These conditions are assessed against the relevant rules, and other eligibility rules and exclusions can apply, so meeting the size thresholds on their own does not automatically mean a company qualifies. Earlier accounting periods were subject to lower thresholds, so it is worth checking which rules apply to the period in question before assuming anything either way.

No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies for the regime can choose to apply it and prepare its accounts under FRS 105, or it can instead prepare accounts under FRS 102 — for example under the small companies regime. Some businesses prefer the fuller disclosure and measurement options available elsewhere, particularly where a lender, investor or group company expects a different format. The right answer depends on your circumstances, so it is worth discussing the options rather than defaulting to one framework.

FRS 105 is a much shorter, simpler standard designed specifically for micro-entities. Accounts prepared under it use a prescribed format with very limited disclosures, and measurement is largely on a historical cost basis, so revaluation of property, plant and equipment and fair value accounting for financial instruments are not available, and deferred tax is not recognised. FRS 102 is the fuller standard used by most companies, including small companies that prepare reduced-disclosure accounts under Section 1A. In short, FRS 105 trades flexibility and detail for simplicity — a good fit for many owner-managed companies, but not necessarily the right fit for every one.

Yes. A limited company must file its annual accounts with Companies House, and accounts prepared under the micro-entity regime in FRS 105 format are one accepted way of meeting that requirement, provided the company qualifies and has chosen to apply the regime. Filing the accounts is a separate obligation from filing a Confirmation Statement, and both are separate again from your Corporation Tax Return to HMRC. We can prepare the FRS 105 financial statements and handle the Companies House submission, while keeping the tax filing as a clearly distinct piece of work.

Yes, they are two different things. FRS 105 accounts are the statutory financial statements prepared under the micro-entities regime and filed with Companies House. A CT600 is the Corporation Tax Return submitted to HMRC, and it is based on the company's taxable profits rather than simply the profit shown in the accounts. Items such as disallowable expenditure, capital allowances and other tax adjustments mean the taxable figure can differ from the accounting profit. The accounts usually form the starting point for the tax computation, but the CT600 is prepared and submitted as its own exercise.

It can, if it qualifies for the micro-entities regime for the period in question and chooses to apply it. A newly incorporated company with modest activity will often fall within the size conditions, but eligibility is assessed against the rules and exclusions in force for that accounting period, so it is not automatic simply because the company is new or small. It is also worth thinking about the framework you expect to need over the next few years, particularly if you plan to raise finance or grow quickly, so that a change of framework later is not a surprise.

Useful starting points include your bookkeeping or trial balance, bank statements and reconciliations, sales and purchase records, payroll and employee numbers, stock and work-in-progress figures, details of fixed assets bought or sold during the period, loan and hire purchase agreements, and movements on director's loan accounts. If you have previous year's accounts, they help confirm opening balances and the framework that was used before. The more complete the records, the more straightforward the preparation tends to be — and we will tell you early if anything else is needed.
