FRS 105 Micro Entity Accounts for Companies in Sunninghill

FRS 105 provides the financial reporting framework for qualifying micro-entities that choose to apply the micro-entities regime, and it is designed to keep statutory financial statements straightforward for very small companies. For a company based in Sunninghill, choosing FRS 105 Micro Entity Accounts can mean simpler measurement requirements and fewer disclosures than other UK accounting frameworks, provided the company meets the eligibility conditions and is not excluded for another reason. Professional preparation helps ensure the accounts are put together appropriately for the company’s own circumstances — reflecting the underlying records accurately, applying the framework consistently from year to year, and presenting the figures and notes in the format expected for a micro-entity. It also helps directors understand what the accounts are actually saying about the business, so decisions about the year ahead are based on figures they can rely on. Because eligibility is not automatic and depends on the company’s size and other rules, it is worth reviewing your position before assuming FRS 105 is the right route.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Regime in Plain English

FRS 105 is the UK financial reporting standard written specifically for micro-entities. In simple terms, it is the rulebook a very small company follows when it prepares its annual financial statements, and it is intentionally lighter than the frameworks used by larger businesses. Its connection to the micro-entities regime is direct: the micro-entities regime is a set of company size conditions set out in company law, and when a qualifying company chooses to apply that regime, FRS 105 is the standard it uses to prepare its accounts. That choice usually brings simpler accounting — for example, assets are generally held at cost or a straightforward value rather than being revalued, and the amount of disclosure in the notes is reduced. What does not change is the need for the figures to be accurate and to reflect the company’s real records, because the accounts still have to be prepared properly and approved by the directors. In practice, FRS 105 Micro Entity Accounts give a clear, honest picture of a small company’s position without the detail that larger businesses are required to provide.

Who Can Use FRS 105 Micro Entity Accounts in the UK?

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. For accounting periods beginning on or after 6 April 2025, a company will generally need to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions, however, is not on its own a guarantee that the regime is available. The relevant rules and exclusions also apply, and some companies are prevented from using the micro-entities regime regardless of how small they are, while certain entities are outside its scope altogether. Eligibility can also change from one period to the next as turnover, balance sheet totals or headcount move, so it is worth reassessing each year. In short, FRS 105 Micro Entity Accounts suit qualifying companies that want a simpler framework — but the qualification test, the exclusions and the choice itself all need to be considered carefully before the accounts are prepared.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

Accurate, Professionally Prepared FRS 105 Micro Entity Accounts

Preparing FRS 105 Micro Entity Accounts properly starts with good records. We work from your bookkeeping, bank statements, sales and purchase information, payroll details and any other supporting documents to build a set of financial statements that reflects what actually happened in the period. From there, the figures are presented in line with the requirements that apply to a micro-entity, with the notes and disclosures that the framework calls for. It is worth separating out the different obligations involved: the accounts themselves are prepared under FRS 105 and, where required, filed at Companies House, while a Corporation Tax Return (CT600) is a separate submission made to HMRC and a Confirmation Statement is a further, separate filing. Each has its own content and its own timetable, and each depends on the same underlying records being correct. Our role is to prepare the FRS 105 Micro Entity Accounts carefully on the basis of the information provided and the reporting requirements that apply, so that directors have accounts they can review with confidence before they are approved and filed.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how a qualifying company that chooses to apply the micro-entities regime prepares its annual financial statements, including how items are measured and what must be disclosed in the notes. It is deliberately simpler than the frameworks used by larger companies, which is why it is popular with very small limited companies that want statutory accounts without unnecessary complexity.

No. FRS 105 is not compulsory. A company that qualifies for the micro-entities regime is entitled to apply it, but it can also choose to prepare its accounts under another framework, most commonly FRS 102 Section 1A for small entities. The regime is an option, not an obligation, so the decision is usually made by weighing up the practical differences in measurement and disclosure against the company's plans.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting the size conditions is not the end of the story, because certain rules and exclusions can prevent a company from using the regime even when it is small. Eligibility should always be checked against the company's specific circumstances and the rules in force for the period.

Both are UK financial reporting standards, but they are aimed at different sizes of company and differ in how much detail they require. FRS 105 is the micro-entities standard and keeps measurement simple — for instance, it does not permit revaluation of assets — and it requires fewer disclosures. FRS 102, including Section 1A for small entities, allows more accounting options and asks for more notes to the accounts. Companies preparing FRS 105 Micro Entity Accounts therefore tend to produce shorter, more compact financial statements.

Yes. Preparing accounts under FRS 105 does not remove the need to file statutory accounts at Companies House where the company is required to do so; it simply determines how those accounts are prepared. The accounts must still be approved by the directors and submitted within the relevant filing deadline for the company's period. Depending on the company's circumstances and the filing options available to it, the version filed may be a simplified set rather than the full accounts prepared for the members.

Yes — they are two different things. FRS 105 Micro Entity Accounts are the company's statutory financial statements, prepared under the micro-entities regime and filed at Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC to report the company's taxable profits and work out the tax due. The two are based on the same underlying records and need to be consistent with each other, but they are prepared for different purposes and sent to different organisations. A Confirmation Statement is a further separate filing.

It can be possible, but it is not automatic. A newly incorporated company will usually be small, and many new companies will fall within the micro-entity size conditions — but the criteria still have to be tested against the actual figures for the period, and the applicable rules and exclusions need to be considered. A first set of accounts can also raise practical questions about the period covered, so it is worth taking advice early rather than assuming the regime applies.

In broad terms, we need the company's financial records for the period: bookkeeping or accounting software exports, bank and credit card statements, sales invoices and receipts, purchase invoices, payroll information if the company employs anyone, details of any loans or assets, and the previous year's accounts where they exist. The more complete and well-organised the records are, the more straightforward the process tends to be. If your records are incomplete, tell us early so we can agree what is needed.

Filing requirements at Companies House are evolving, with a general direction of travel towards digital filing and towards small and micro-entity companies providing more information than today's simplified filing options allow. Because the detail and timing of these changes matter, it is sensible to check your position each year rather than relying on how you filed previously. We can explain how the rules affect your company when you get in touch.
