Meeting the size criteria is the starting point, but it is not the whole picture — certain companies are excluded, and some circumstances mean the regime is not available regardless of size. Eligibility therefore needs to be checked against your specific company rather than assumed from turnover or headcount alone.

No. The micro-entities regime is an available accounting regime, not an obligation. A company that qualifies may choose to apply it and prepare FRS 105 accounts, or it may instead prepare accounts under a different framework such as FRS 102. The choice often comes down to what the directors, lenders or other users of the accounts need to see, so it is worth considering before you settle on an approach.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, balance sheet total of no more than £500,000, and an average of no more than 10 employees.
