If your company is based in Stafford and you are looking for a straightforward, proportionate way to prepare and report your annual figures, FRS 105 Micro Entity Accounts may be the right fit. FRS 105 is the financial reporting framework set out for qualifying micro-entities that choose to apply the UK micro-entities regime. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── FRS 105 EXPLAINED

FRS 105 Explained: What It Means for Qualifying Micro-Entities

FRS 105 is the UK financial reporting standard that applies to companies choosing to use the micro-entities regime when preparing their annual financial statements. In plain terms, it is a stripped-back accounting framework: it uses a simpler measurement basis, keeps disclosures to a minimum, and produces a shorter set of accounts than the fuller standards used by larger companies. That matters because preparing FRS 105 Micro Entity Accounts can reduce the time, cost and complexity involved in reporting for a small company, while still producing financial statements that are properly structured and filed. It is important to be clear that this regime is optional. A company that qualifies for the micro-entities regime can choose to apply it, and FRS 105 applies when that choice is made — it is not an automatic label attached to every small company. Equally, a company that does not qualify, or that has reasons to prefer a different framework, would prepare its accounts under another standard. For directors in Stafford weighing up their options, understanding FRS 105 is really about understanding whether the micro-entities regime suits how your company operates and reports.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. Qualifying is a two-part idea: you need to fall within the size limits, and you need to be free of the other eligibility restrictions that apply to the regime. On size, for accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable conditions — turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those figures are the starting point, not the whole answer. The relevant rules and exclusions can affect whether a company is permitted to use the micro-entities regime, and some companies are excluded regardless of size. Meeting the size thresholds therefore does not automatically guarantee eligibility, and FRS 105 only applies once a qualifying company actively chooses the micro-entities regime. For directors in Stafford running a small limited company, the practical route is to review your figures and your company’s circumstances, then confirm whether FRS 105 Micro Entity Accounts are likely to be appropriate before the year-end work begins.

A company generally needs to meet at least 2 of these 3 conditions.

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

Professionally Prepared FRS 105 Micro Entity Accounts with Accurate Financial Reporting

FRS 105 Micro Entity Accounts are prepared from your company’s financial records and the reporting requirements that apply to it. That means starting with accurate bookkeeping — bank transactions, sales and purchase records, expenses, assets and liabilities — and then translating those records into a set of financial statements that reflect the framework properly. Where the micro-entities regime is being applied, the accounts will follow the presentation and disclosure requirements of FRS 105 rather than the fuller requirements of other standards, and the balance sheet, notes and supporting information need to line up with one another. It is worth separating out the different pieces of the year-end jigsaw: the preparation of your financial statements is one task, filing those accounts with Companies House is another, and your Corporation Tax Return (CT600) is a separate submission made to HMRC. Getting the accounts right supports the other two, but they are not the same thing and should not be treated as interchangeable. Working with a professional preparer helps make sure your FRS 105 Micro Entity Accounts are consistent, complete for your circumstances, and ready to be filed.

FRS 105 is the UK financial reporting standard that applies to companies choosing to use the micro-entities regime when preparing their annual financial statements. It is a simplified framework, containing reduced disclosure requirements and simplified measurement rules compared with the standards used by larger companies, and it is intended to make annual reporting more proportionate for the smallest companies.

FRS 105 is available to companies that both qualify for the micro-entities regime and choose to apply it. Qualification depends on meeting the applicable size conditions and on not being excluded by the other eligibility rules. Meeting the size thresholds on their own does not automatically guarantee eligibility, so it is worth checking your specific position — including your company's structure and activities — before deciding to prepare accounts under FRS 105.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. These conditions are subject to the relevant rules and exclusions, and certain companies are not eligible for the micro-entities regime regardless of their size. Because the detail matters, it is worth confirming your eligibility with a professional rather than relying on the headline figures alone.

No. The micro-entities regime is an available accounting regime, not an obligation. A company that qualifies for it may choose to apply it, and FRS 105 applies when that choice is made. Some qualifying companies decide to use a different framework instead, often because of the way they report to lenders, investors or group companies. The decision is yours to make, and it can be reviewed if your circumstances change.

Both are UK financial reporting standards, but they differ in depth and complexity. FRS 105 is the micro-entities framework, with a simplified measurement basis and a much shorter set of disclosure notes. FRS 102 is the standard generally used by small and medium-sized companies that do not qualify for, or choose not to use, the micro-entities regime. FRS 102 accounts typically include more detailed disclosures and can involve more judgement and more supporting work to prepare.

Accounts prepared under FRS 105 are the company's annual financial statements, and filing those accounts with Companies House is a separate step from preparing them. What gets filed depends on the filing options available to your company and the framework applied. Filing accounts is also distinct from your Corporation Tax Return — the CT600 is submitted to HMRC, not Companies House, and covers different information.

It can be possible, but it is not something to assume. A newly incorporated company still needs to qualify for the micro-entities regime and choose to apply it, and the same size conditions and exclusions apply. In practice, new companies often need to consider whether their first period is long enough and active enough for the size tests to be assessed sensibly, and whether any other eligibility restrictions apply to them.

In broad terms, you will need complete and accurate bookkeeping records for the period, including bank statements and reconciliations, sales and purchase records, expense and receipt documentation, details of any assets and liabilities, and information about amounts owed to or by the company. Directors' loan account movements, VAT records where applicable, and details of any share capital also help. If your company is filing accounts, having the previous year's filed accounts to hand is useful as well. Good records make preparation smoother and reduce the number of queries raised along the way.

Meeting at least two of the three applicable conditions is generally the starting point for the size test for accounting periods beginning on or after 6 April 2025, but it is not the whole picture. The relevant rules and exclusions still apply, and some companies are prevented from using the micro-entities regime even where they fall within the size limits. Treating the size test as a tick-box exercise can lead to the wrong framework being used, so eligibility is best confirmed on a case-by-case basis.
