It is a deliberately minimal framework: accounts are usually built around a simple balance sheet with limited notes, using historical cost figures rather than revaluations or fair value adjustments, and with a much shorter list of disclosures than larger-company accounts. In practice, FRS 105 keeps the reporting burden low for very small companies while still producing formal financial statements.

FRS 105 is available to companies that qualify as micro-entities under the applicable size conditions and other rules, and that then choose to apply the micro-entities regime. Qualifying is not the same as being required to use it — a qualifying company may instead prepare accounts under a different framework such as FRS 102. No. Applying the micro-entities regime is a choice. A company that qualifies as a micro-entity can decide to use the regime, in which case FRS 105 is the standard that must be followed in preparing those accounts. Alternatively, it can choose a fuller framework, which may suit businesses that want to present more detail to lenders, investors or anyone reviewing the numbers. What FRS 105 is not is an automatic default that applies simply because a company is small.

FRS 102 also contains a section for small entities that sits between the two. The result is that FRS 105 accounts give a concise picture, while FRS 102 accounts generally give a fuller and more detailed one.

If your company is required to file annual accounts, then the accounts it prepares — including accounts prepared under FRS 105 — are what support that filing, and micro-entity accounts are filed in a simplified format. For small companies, the profit and loss account is not normally placed on the public record, so what appears on the register is often a shorter version of the full statements. Filing accounts with Companies House does not replace any other obligation, and the exact filing position depends on your company's circumstances.

Yes, they are two distinct things. FRS 105 accounts are the financial statements prepared under the Companies Act reporting framework and are used for Companies House filing. A CT600 is a Corporation Tax Return submitted to HMRC to report the company's taxable profit, calculated from the accounts but adjusted for things such as disallowable expenditure and capital allowances. The accounts feed into the tax return, but preparing and filing one does not complete the other, and the deadlines for each are different.
