FRS 105 is the UK financial reporting standard used by companies that apply the micro-entities regime. It sets out how the financial statements of a qualifying micro-entity are prepared, including the form of the balance sheet and profit and loss account and the limited notes that accompany them. It is deliberately simpler than the frameworks used by larger companies, and it works on a historical cost basis, so things such as revaluation and fair value adjustments are not available.
FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. Qualification is based on size conditions as well as the wider eligibility rules, and there are exclusions that can rule a company out even if it looks small on paper. Meeting the size conditions alone does not automatically mean the regime is available, so eligibility should be checked against your company's specific position rather than assumed.
No. The micro-entities regime is an available accounting regime rather than a mandatory one. A company that qualifies for it may choose to apply it, and FRS 105 applies when that choice is made. Some qualifying companies instead prepare accounts under a fuller framework such as FRS 102, for example because a lender, investor or group structure prefers a more detailed set of financial statements.
For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. These are size conditions only. Other rules and exclusions also apply, and certain companies are prevented from using the regime regardless of size, so the criteria need to be considered alongside your company's particular circumstances.
Both are UK financial reporting standards, but they suit different companies. FRS 105 is the micro-entities standard: short, historical cost based and with minimal disclosure. FRS 102 is the wider standard for small and other entities, and it offers more accounting options — such as revaluation of certain assets, fair value measurement in some cases and deferred tax — along with a fuller set of disclosure notes. Choosing between them is about which regime your company qualifies for and which framework is most appropriate for how the business is run and financed.
A company's annual accounts, including FRS 105 Micro Entity Accounts, are normally filed at Companies House as part of the company's statutory filing obligations, alongside a separate Confirmation Statement. Filing the accounts is a distinct requirement from filing a Corporation Tax Return. Yes. FRS 105 accounts are the company's financial statements prepared under the micro-entities framework and filed at Companies House. A CT600 is a Corporation Tax Return submitted separately to HMRC to report the company's taxable profits and calculate the tax due. They draw on similar underlying information, but they are different documents with different purposes, different recipients and different filing processes, so both need to be dealt with.
A newly incorporated company can use FRS 105 if it qualifies for the micro-entities regime and chooses to apply it — being new does not by itself prevent it, and neither does being new automatically mean it qualifies. In the first period a company may trade for only part of the year, and the size conditions still need to be considered properly. It is worth reviewing the position early so that your bookkeeping and records are set up in a way that supports micro-entity financial statements from the outset.
Typically we need your bookkeeping or accounting records for the period, bank and credit card statements, sales and purchase information, details of fixed assets and any additions or disposals, loan and finance agreements, stock or work in progress figures where relevant, and details of any amounts owed to or by the company at the period end. Directors' loan account movements and share capital details are also useful. The better the records, the more straightforward the preparation of the financial statements tends to be.
Companies House has been introducing reforms that affect how accounts are filed, with a move towards filing in software and digital formats, and there has been consultation on requiring more information from small and micro-entity companies — including the possibility of filing profit and loss information alongside the balance sheet. Because the detail and timing of these changes can be updated, it is worth checking the current requirements for your filing period rather than relying on how accounts were filed in previous years.
