In plain terms, it is the lightest-touch accounting framework available to UK limited companies.

No. Qualifying for the micro-entities regime does not automatically mean you must use FRS 105. The regime is a choice — directors of a qualifying company can decide whether applying it is appropriate for their circumstances. If you do choose the micro-entities regime, FRS 105 is the standard that applies to those accounts. If you decide it is not right for you, a different framework such as FRS 102 would generally be used instead.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions. Those conditions are turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Both are UK financial reporting standards, but they sit at different levels of complexity. FRS 105 is the micro-entities framework: it is designed for the smallest qualifying companies and permits a very reduced set of disclosures. FRS 102 is a fuller framework used by a much wider range of companies, and it typically requires more detailed accounting, more note disclosures, and more judgement in areas such as financial instruments, leases and deferred tax. Choosing between them is a matter of eligibility and of what best suits the company and its users.

Micro-entity accounts prepared under FRS 105 are still annual accounts, and the usual requirement to file accounts with Companies House applies to companies that are within scope of that obligation. What changes under the micro-entities regime is the content and presentation of the accounts, not the principle that they must be filed. Filing the accounts is a separate step from submitting a Corporation Tax Return, and the two have different deadlines and different recipients.

Yes — they are two distinct filings. FRS 105 Micro Entity Accounts are financial statements prepared under the micro-entities framework, and they may be filed at Companies House. A CT600 is a Corporation Tax Return submitted to HMRC, which deals with the company's tax position. Although the figures in each should be consistent with one another, preparing the accounts does not automatically complete your Corporation Tax Return, and the deadlines are different.

It can, in principle, provided it qualifies for the micro-entities regime in its first accounting period and the directors choose to apply it. Because other eligibility rules and exclusions can also apply, a new company's position is best confirmed before the first set of accounts is prepared.
