FRS 105 Micro Entity Accounts in Northampton

FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities regime — a simplified reporting framework available to companies that qualify as micro-entities and choose to apply it. For a small company in Northampton, that can mean shorter, more straightforward accounts that reflect the way the business actually trades, rather than a full set of general-purpose financial statements. Whether the regime is available to you depends on the size conditions for your accounting period and on the wider eligibility rules and exclusions, so it is not something we assume automatically. Our role is to review your circumstances, look at your records and prepare FRS 105 Micro Entity Accounts that are consistent with the framework and with the information you provide, so you have a clear set of accounts and a clearer idea of what needs to be filed where.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Reporting Framework for Micro-Entities

FRS 105 is the UK financial reporting standard that applies to companies using the micro-entities regime. In plain terms, it is a simplified accounting framework: the micro-entities regime is the legal option that allows qualifying companies to prepare and file reduced accounts, and FRS 105 is the standard that governs what those accounts look like when that option is taken. So the two go together — if a qualifying company chooses the micro-entities regime, FRS 105 applies to the accounts it prepares. FRS 105 accounts tend to be shorter and less detailed than accounts prepared under a fuller framework, with simpler measurement requirements and fewer disclosures. Crucially, choosing the regime is a decision, not an automatic entitlement: a company must first qualify, then decide whether the regime genuinely suits its circumstances. For many owner-managed businesses in Northampton, that decision is where professional input is most useful.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for UK companies that qualify for the micro-entities regime and actively choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those figures are a starting point rather than the whole test. Other eligibility rules and exclusions can apply depending on the type of company, its structure and its activities, which is why simply falling under the thresholds does not automatically mean the regime is available. In practice, most Northampton companies that use FRS 105 Micro Entity Accounts are small, owner-managed businesses that want straightforward accounts — but the eligibility check comes first, and the choice to apply the regime comes after that.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Micro Entity Accounts

Preparing FRS 105 Micro Entity Accounts properly means working from your underlying financial records — bank statements, invoices, receipts, payroll information, asset purchases and any loans or balances owed to or by the company. From that information we build a set of accounts that reflects the framework and the applicable reporting requirements for micro-entities, rather than a generic template. It also helps to keep two things clearly separate in your mind: the preparation and filing of the financial statements, and your Corporation Tax obligations. FRS 105 governs the accounts and the Companies House filing side of things; a Corporation Tax Return (CT600) is a separate submission made to HMRC, based on the company’s taxable profits and prepared under tax rules rather than accounting standards. We can help with the accounts, and we can talk you through how the tax filing fits alongside them — but no accountant can promise that a filing will be accepted or that compliance is guaranteed, and we won’t pretend otherwise.

FRS 105 is the UK financial reporting standard that sets out how micro-entity accounts are prepared. It is a simplified framework: fewer disclosures, simpler measurement rules and shorter financial statements than a company would typically produce under a fuller standard. It applies when a qualifying company chooses to use the micro-entities regime, so the standard and the regime are effectively two halves of the same decision.

No. Qualifying for the micro-entities regime does not mean you are obliged to use it. It is an available accounting regime, and a company that meets the conditions can generally choose whether to take it up or report under a fuller framework instead. The right answer depends on your circumstances — for example, whether a lender, investor or customer expects more detailed accounts. We are happy to talk through the trade-offs, but the decision remains yours.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting the size tests is not the whole story, however. Other eligibility rules and exclusions apply, so it is worth checking your specific position rather than assuming the regime is available.

Both are UK accounting standards, but they sit at different levels of detail. FRS 102 is the mainstream framework for most UK companies and covers recognition, measurement and disclosure in far more depth. FRS 105 is the micro-entities standard — a pared-back framework intended for the smallest qualifying companies, with simpler requirements and far fewer notes to the accounts. FRS 102 also has a Section 1A variant for small companies that do not qualify for the micro-entities regime.

Yes — for a company that prepares accounts under the micro-entities regime, those accounts are generally the ones delivered to Companies House, usually in a reduced form in line with the regime. Filing the accounts is a separate step from preparing them, and it is separate again from your Corporation Tax Return. We can help with preparation and explain what needs to go where, but we cannot guarantee how a filing will be treated by the registrar.

Yes, they are two different things. FRS 105 accounts are the financial statements prepared under the accounting framework, based on your bookkeeping records. A CT600 is the Corporation Tax Return submitted to HMRC, which works from taxable profits calculated under tax rules — figures that can differ from the accounting profit shown in the accounts. Preparing one does not automatically complete the other, so both should be dealt with in good time.

A newly incorporated company is not automatically able to use the micro-entities regime simply because it is small. Eligibility is assessed against the applicable conditions and other rules and exclusions, and a first set of accounts can raise questions that an established company would not face. It is worth discussing your first accounting period with us so the position is considered properly before the accounts are prepared.

Companies House filing requirements for small and micro-entity companies have been evolving, including a shift towards software-based filing and changes to what small companies are expected to deliver. The exact position depends on your accounting period, so it is not something to assume either way. We will confirm what currently applies to your company when we look at your circumstances.
