In simple terms, it is the lightest-touch reporting framework available under UK GAAP, and it sits alongside the micro-entities regime that small companies can choose to adopt. The two go together: where a company qualifies for the micro-entities regime and decides to apply it, FRS 105 is the standard used to draw up the accounts. That normally means a straightforward balance sheet, a small set of notes and far less disclosure than you would see under a fuller framework — but the numbers still have to be correct and the presentation still has to follow the standard. FRS 105 financial statements are not the same thing as a Corporation Tax Return, a Confirmation Statement or other company filings; they are the statutory accounts themselves. Choosing the regime is a decision for the directors, based on the company’s eligibility and what best suits its circumstances.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for UK companies that qualify for the micro-entities regime and decide to apply it. Eligibility is based on size conditions, and for accounting periods beginning on or after 6 April 2025 a company generally needs to meet at least 2 of the following 3 conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those thresholds is a starting point rather than the whole picture. Other eligibility rules and exclusions apply to particular types of company and to certain circumstances, and in some cases a company that meets the size tests may still not be permitted to use the regime.
