FRS 105 accounts are deliberately simplified: the balance sheet and profit and loss account are prepared on a historical cost basis, with far fewer disclosure notes and no requirement for the kind of fair value accounting found in more detailed frameworks. The result is statutory accounts that are quicker and cheaper to produce, which is often exactly what a very small company needs. The framework is not compulsory for every company of that size — it applies when a company both qualifies for the micro-entities regime and decides to use it. A company that qualifies may instead choose a different regime, such as FRS 102 Section 1A, which offers more detail and flexibility but takes more time to prepare. If you are unsure which framework suits your company, that is a good conversation to have before the year end rather than after it.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for UK companies that qualify for the micro-entities regime and choose to apply it. Qualification is a two-part question: does the company meet the size conditions, and is it permitted to use the regime at all? For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable conditions, subject to the relevant rules and exclusions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions does not, on its own, guarantee eligibility — certain companies and certain activities fall outside the regime, and the tests apply to the company and, where relevant, the group. Nor is the regime compulsory for companies that do qualify; a company may instead choose a fuller framework such as FRS 102. Because the position can change as a company grows or its circumstances alter, eligibility is worth reviewing each year before the accounts are prepared.

FRS 105 is the micro-entities framework and applies only where a company qualifies for the regime and chooses to use it, with simplified measurement and far fewer disclosure notes. FRS 102 is the broader standard, and small companies often use FRS 102 Section 1A, which allows more accounting options such as revaluation and a greater level of disclosure. In practice, FRS 105 means shorter, simpler accounts; FRS 102 means more detail and more preparation work. Which is appropriate depends on your company's circumstances and who relies on the accounts.

Where a company is required to file annual accounts at Companies House, its FRS 105 Micro Entity Accounts form part of that filing, and the accounts must be prepared in the format and with the content the framework requires. The filing itself is a separate administrative step from preparing the accounts, and the deadline that applies to your company should always be checked against your own accounting reference date rather than assumed. Filing accounts is also distinct from filing a Confirmation Statement, which is a separate requirement.
