FRS 105 Micro Entity Accounts in Harrow Weald

FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities regime — a simplified UK financial reporting framework designed for companies that qualify as micro-entities and choose to apply that regime. In Harrow Weald, many small limited companies fall into this category and want accounts that are clear, correctly structured and suited to their circumstances, without unnecessary complexity. Professional preparation helps ensure your FRS 105 Micro Entity Accounts are built from accurate bookkeeping records, reflect the company’s actual transactions and present the information required under the regime in a consistent format. It also means the figures used for the accounts line up sensibly with the records you keep for other purposes. Importantly, applying FRS 105 is a choice available to qualifying companies, not an automatic entitlement — eligibility depends on the size criteria and other applicable rules, so it is worth checking your position before assuming the regime applies to you.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Regime in Plain English

FRS 105 is the UK accounting standard that sits behind the micro-entities regime. In simple terms, it is a stripped-back set of financial reporting rules for the very smallest companies. Where a company qualifies as a micro-entity and decides to apply the regime, FRS 105 is the framework used to prepare its financial statements. The idea is straightforward: less disclosure, a simpler format and a focus on the essentials — typically a concise balance sheet, a small profit and loss account and limited notes. For a Harrow Weald business owner, that usually means accounts that are quicker to prepare, easier to read and more proportionate to the size of the company. It is not a tax regime and it does not replace your Corporation Tax Return; it is about how the financial statements are put together. Choosing it means accepting certain simplifications, such as how some items are measured and what must be disclosed, so the decision should be made with your circumstances in mind rather than by default.

Who Can Use FRS 105 in the UK? Qualifying for the Micro-Entities Regime

FRS 105 is intended for UK companies that qualify for the micro-entities regime and then choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. For a company in Harrow Weald, that means looking at your own figures rather than comparing yourself to other businesses — and looking at them consistently, since the conditions are assessed on the applicable basis for your period. It is important to be clear that meeting those size conditions is not, on its own, a guarantee of eligibility. Other eligibility rules and exclusions can apply, certain company types may be restricted from using the regime, and specific circumstances can affect whether it is available. Qualifying is therefore a matter of checking the size conditions alongside the wider rules, and then deciding whether applying the micro-entities regime — and therefore preparing FRS 105 Micro Entity Accounts — is the right approach for the company.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Accounts with Accurate Financial Reporting

Well-prepared FRS 105 Micro Entity Accounts start with well-kept records. We work from your bookkeeping, bank information, invoices, receipts and other supporting detail to build a set of financial statements that reflects what has actually happened in the business, then present it in the format the micro-entities regime expects. That includes getting the balance sheet, profit and loss account and any necessary notes consistent with the underlying records, and checking that the figures hang together before anything is finalised. Preparations of this kind are carried out by experienced accounting professionals who work to the applicable reporting requirements, and the work is approached carefully rather than mechanically. It is also worth being clear about the boundaries: preparing and filing FRS 105 accounts with Companies House is a separate exercise from dealing with Corporation Tax. A CT600 is a Corporation Tax filing submitted to HMRC, based on the company’s taxable profits, whereas the accounts are the company’s financial statements. Many businesses need both, and they are handled as distinct pieces of work — we can look after the accounts side and coordinate with your tax position so the two do not pull in different directions.

FRS 105 is the UK financial reporting standard that applies to companies using the micro-entities regime. It is a simplified framework with reduced disclosure requirements compared with the standards used by larger companies, and it is designed to keep the financial statements of the smallest companies proportionate to their size. FRS 105 governs how the accounts are prepared and presented — it is not a tax regime and does not determine how much Corporation Tax a company pays.

FRS 105 is available to companies that qualify as micro-entities and that choose to apply the micro-entities regime. Qualifying is a matter of meeting the applicable size conditions and not falling foul of any of the relevant rules or exclusions. Some company types and certain circumstances can affect whether the regime is available, so qualifying is not simply a case of being a small business. It is worth confirming your position rather than assuming.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions to qualify as a micro-entity. Those conditions are turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting the size conditions is not the whole story, though — other eligibility rules and exclusions can apply, so the criteria should be checked against your company's specific situation.

No. FRS 105 applies where a qualifying company chooses to use the micro-entities regime. Qualifying for the regime and applying it are two different things. A company that meets the size conditions may still decide to prepare its accounts under a different framework, and in some cases that may be preferable depending on the company's activities, its lenders, its investors or its plans. The regime is an available option for qualifying companies, not something imposed on them automatically.

FRS 102 is the standard used by most small and medium-sized companies and contains considerably more detail, more measurement requirements and more disclosures. FRS 105 is the micro-entities standard, offering a more streamlined approach for the smallest qualifying companies. The trade-off is that FRS 105 comes with simplifications in how certain items are treated, so it is not simply a shorter version of FRS 102 — it is a distinct framework with its own rules. Which one suits a company depends on its size, its circumstances and what the accounts need to achieve.

Where a company prepares accounts under the micro-entities regime, those accounts form part of its statutory reporting and are filed with Companies House in line with the applicable filing requirements. The format filed can be simplified compared with full accounts, and the filing is made through the usual channels. Filing the accounts is quite separate from filing a Confirmation Statement, which deals with company information rather than the financial statements, and separate again from Corporation Tax filings to HMRC.

Yes, they are two distinct pieces of work. FRS 105 accounts are the company's financial statements, prepared under the micro-entities regime. A CT600 is a Corporation Tax Return submitted to HMRC, calculated by reference to the company's taxable profits and adjusted for tax rules that do not appear in the accounts. The accounts inform the tax return, but they are not the same document, and filing accounts does not discharge a company's Corporation Tax obligations — or vice versa.

In practice we need a clear picture of the company's transactions for the period, usually in the form of a bookkeeping export, a trial balance or a full set of records covering income and expenses. It also helps to have bank and credit card statements, sales and purchase invoices, payroll information if you employ staff, details of any assets owned by the company, loan and hire purchase agreements, and any stock or work-in-progress figures. The previous year's accounts are useful too, so we can check consistency. The more complete the records, the more straightforward the preparation tends to be.
