FRS 105 Micro Entity Accounts in Hanham Bristol

FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities regime — the simplified UK reporting framework available to companies that qualify as micro-entities and choose to apply it. For directors based in Hanham Bristol, that choice affects how the balance sheet, profit and loss account and supporting notes are put together, and it shapes the way the accounts are presented to Companies House. Professional preparation helps ensure your FRS 105 Micro Entity Accounts are built properly from your bookkeeping records, reflect your company’s actual circumstances, and follow the disclosure requirements that apply to the micro-entities regime. It also gives you a clear explanation of what has been prepared and why, so you understand the figures you are signing off rather than simply filing a set of numbers.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Reporting Framework

In plain terms, FRS 105 is the financial reporting standard that applies when a qualifying company chooses to use the UK micro-entities regime. It is the smallest and simplest of the UK accounting frameworks, designed so that very small companies can prepare straightforward financial statements without the heavier disclosure requirements that come with larger reporting standards. FRS 105 accounts focus on the essentials: a balance sheet showing what the company owns and owes, a profit and loss account showing income and expenses, and a small number of notes. Qualifying is not automatic and choosing the regime is a decision for the company — meeting the size conditions does not by itself mean a company must use FRS 105, and there are other rules and exclusions that can affect whether the regime is available. Where the micro-entities regime is used, FRS 105 is the standard that governs how those FRS 105 Micro Entity Accounts are prepared.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those figures are the starting point rather than the whole answer, because the micro-entities regime also carries its own eligibility rules and exclusions. Certain types of company, and companies in particular situations, may be prevented from using it even where the size conditions appear to be met, and a company that qualified in one period will not necessarily qualify in the next. That is why eligibility is best confirmed by looking at your company’s specific position, including its activities and structure, before FRS 105 Micro Entity Accounts are prepared.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Micro Entity Accounts with Accurate Financial Reporting

FRS 105 Micro Entity Accounts should be prepared from complete and accurate financial records, and professional preparation starts with understanding what your company has actually done during the accounting period. We work from your bookkeeping, bank records, invoices and supporting documents to build a set of FRS 105 financial statements that reflects your position and follows the recognition and disclosure requirements of the micro-entities regime. Accounts preparation, Corporation Tax and statutory filing are treated as separate pieces of work: the FRS 105 Micro Entity Accounts are the financial statements, filing them with Companies House is a company law obligation, and a Corporation Tax Return (CT600) is a separate submission to HMRC. Keeping those boundaries clear helps avoid confusion about what has been submitted, where, and on what basis.

FRS 105 is the UK financial reporting standard for companies that qualify as micro-entities and choose to apply the micro-entities regime. It sets out how those companies prepare their financial statements, including the balance sheet, the profit and loss account and the limited notes that accompany them. It is the most simplified framework available under UK GAAP, which is why it suits very small companies that do not need the more detailed disclosures of a larger reporting standard.

FRS 105 is available to companies that qualify for the UK micro-entities regime and decide to apply it. Qualifying is a two-part test: the company has to fall within the size criteria, and it must not be excluded by the other eligibility rules. Because the exclusions and conditions depend on the company's circumstances and history, it is worth checking whether the regime is available before assuming FRS 105 is the right framework for your accounts.

No. The micro-entities regime is an available option rather than a mandatory one. A company that meets the size conditions can generally choose whether to apply the micro-entities regime, and FRS 105 is the standard that applies when that regime is chosen. Some companies prefer to prepare accounts under FRS 102 instead, for example because a lender, investor or group company wants more detail. The decision belongs to the company, within the rules that apply to it.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting 2 of the 3 does not automatically confirm eligibility on its own — other rules and exclusions can apply, and certain companies are prevented from using the regime regardless of size. Checking the position properly at the start of the period is the sensible approach.

Both are UK financial reporting standards, but they sit at different levels of complexity. FRS 105 is the micro-entities standard and is deliberately streamlined, with a short list of permitted notes and a simpler measurement approach. FRS 102 is the standard for larger small companies and other entities, and it involves more detailed accounting treatments, more disclosure and more judgement in areas such as financial instruments, leases and deferred tax. Choosing between them affects the figures presented and how much supporting disclosure is included.

Preparing accounts under FRS 105 does not remove the company's obligation to file annual accounts with Companies House. What changes is the content and presentation: the accounts are prepared under the micro-entities regime, and micro-entity accounts can be filed in the simplified format the rules allow. Filing is a separate step from preparing the accounts, and it is also separate from anything submitted to HMRC.

Yes, and the two should not be confused. FRS 105 Micro Entity Accounts are the company's financial statements, prepared under the micro-entities regime and filed with Companies House. A Corporation Tax Return (CT600) is a tax filing submitted to HMRC, and it is based on the company's taxable profits rather than being a copy of the accounts. A Confirmation Statement is a further, separate filing. The figures in the accounts usually provide the starting point for the tax position, but the submissions themselves are distinct.

Typically we need your bookkeeping or accounting records for the period, bank statements and reconciliations, sales and purchase invoices or summaries, details of any assets bought or sold, information on loans, director's loan movements and other balances, plus details of anything unusual that happened during the year. If a previous set of accounts exists, that is useful too. The cleaner the records, the more straightforward the preparation — but missing information can usually be worked through rather than treated as a blocker.
