FRS 105 Micro Entity Accounts in Haddington

If your company qualifies for the UK micro-entities regime and chooses to apply it, FRS 105 Micro Entity Accounts provide the reporting framework you use to prepare your annual financial statements. FRS 105 is the financial reporting standard written specifically for micro-entities, and it is different in both style and content from the accounts produced under FRS 102. Professional preparation of FRS 105 Micro Entity Accounts in Haddington means your figures are pulled together from your own business records, set out in the format the micro-entities regime expects, and supported by disclosures that reflect your company’s actual circumstances. Crucially, eligibility is not automatic: a company has to meet the applicable size conditions and clear the relevant exclusions before the micro-entities regime is available to it. We help you establish where your company stands, then prepare FRS 105 accounts that are clear, consistent and aligned with the regime you have chosen to apply.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Reporting Standard Behind Micro-Entity Accounts

FRS 105 is the UK financial reporting standard designed for micro-entities — the smallest companies within the UK’s micro-entities regime. In plain terms, it is the rulebook that tells you how to recognise and measure the items in your accounts and what you need to disclose. FRS 105 is built on FRS 102 but strips things back: fewer disclosure notes, simpler measurement, and a format suited to a small trading company rather than a larger business. It is important to understand that FRS 105 is not compulsory for every small company. A company generally has to qualify for the micro-entities regime — meeting the size conditions and any other applicable rules — and then choose to apply that regime. FRS 105 applies when that choice is made. If the micro-entities regime is not used, a different framework, most commonly FRS 102, will apply instead.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for companies that qualify for the UK micro-entities regime and then choose to apply it. For accounting periods beginning on or after 6 April 2025, the size test generally requires a company to meet at least 2 of 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting two of the three is the usual starting point, not the finish line. Other eligibility rules and exclusions apply — certain types of entity are excluded from the micro-entities regime, and parent companies and groups can face additional considerations — so satisfying the size conditions does not automatically mean your company qualifies. This is why it pays to review your company’s position, including any changes in turnover, balance sheet or headcount, before deciding to prepare FRS 105 Micro Entity Accounts in Haddington.

A company generally needs to meet at least 2 of these 3 conditions.

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Micro Entity Accounts with Accurate Financial Reporting

Well-prepared FRS 105 Micro Entity Accounts start with good records. We work from your bookkeeping, bank data, sales and purchase information, asset details and any relevant correspondence to build a set of financial statements that reflects what your company has actually done in the period. The accounts are then presented in the format the micro-entities regime requires, with the disclosures that apply to a company of your size and shape. It is important to keep two separate obligations in mind. Preparing and filing your financial statements with Companies House is one thing; your Corporation Tax Return (CT600) is a separate filing submitted to HMRC, with its own figures, adjustments and deadlines. The two are related but they are not the same document, and neither is a Confirmation Statement. We can help you understand how they fit together, and where Corporation Tax work is required, that is handled as its own distinct piece of work built on the same underlying records.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how a qualifying micro-entity that has chosen to apply the micro-entities regime recognises, measures and presents the items in its annual financial statements, and what it needs to disclose. It is derived from FRS 102 but is deliberately more streamlined, with reduced disclosure requirements and simpler measurement rules, which suits the straightforward trading companies that typically use it.

FRS 105 is available to companies that qualify as micro-entities under the UK micro-entities regime and that choose to apply it. Qualification depends on meeting the applicable size conditions as well as clearing any exclusions and other rules that apply — for example, certain types of entity are excluded from the regime altogether, and additional considerations can apply to parent companies and groups. Meeting the size conditions does not, on its own, guarantee that the regime is available or appropriate, so eligibility is best confirmed against your company's specific circumstances before the accounts are prepared.

No. The micro-entities regime is an available accounting regime rather than a mandatory one. A company that qualifies for it can choose to apply it, in which case FRS 105 governs the accounts. If the company qualifies but decides not to use the micro-entities regime, a different framework will apply — most commonly FRS 102, or another standard if the company has particular characteristics. In practice, the choice often comes down to what the company needs from its accounts, such as whether it wants fair value accounting or more extensive disclosures.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of these 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Those conditions sit alongside other rules and exclusions, so satisfying two of the three is the usual starting point rather than the whole test. Thresholds and rules can change, so it is worth checking the position that applies to your specific accounting period.

FRS 102 is the general UK financial reporting standard that applies to a wide range of companies, including small companies, and it allows options such as revaluation of certain assets and fair value measurement, with a fuller set of disclosure notes. FRS 105 is the micro-entity standard. It is simpler and more prescriptive: fewer accounting policy choices, no revaluations or fair value accounting, and a much shorter set of disclosures. FRS 105 is only available where the company qualifies for, and chooses to apply, the micro-entities regime.

Yes — for a company, the annual accounts are filed at Companies House, and FRS 105 Micro Entity Accounts are filed in the micro-entity format where that regime has been applied. Filing the accounts is separate from your Corporation Tax obligations. Equally, it is separate from the Confirmation Statement, which is a different filing altogether. Companies House has also been introducing changes to how accounts can be filed, including a move towards filing through software rather than a web form for small and micro-entity accounts, so it is sensible to check the current guidance before you submit.

Yes, they are separate. FRS 105 accounts are the financial statements prepared under the micro-entities regime and, for a company, filed at Companies House. A CT600 is a Corporation Tax Return submitted to HMRC, and it is computed from the company's taxable profits after any tax adjustments, which can differ from the profit shown in the accounts. They draw on the same underlying records, but they are different documents with different purposes and different submission routes.

A newly incorporated company can apply FRS 105 for a period in which it qualifies as a micro-entity and chooses to apply the micro-entities regime. New companies sometimes have a short or unusual first accounting period, and the size conditions are assessed on the period concerned using the rules that apply to it, so the position should be checked rather than assumed. If the company does not qualify, or prefers a different framework, FRS 102 or another applicable standard would be used instead.

Typically we would need your bookkeeping or accounting records for the period, bank statements and reconciliations, sales and purchase information, details of fixed assets and any additions or disposals, stock or work in progress where relevant, details of loans and director balances, payroll information for the average employee number, and a copy of the previous year's accounts for comparative figures. If you use cloud accounting software, giving us access is usually the quickest route.
