FRS 105 Micro Entity Accounts in Eyemouth

FRS 105 Micro Entity Accounts give qualifying Eyemouth companies a simpler, more proportionate way to prepare and report their annual financial statements. FRS 105 is the financial reporting framework that applies when a company qualifies for the UK micro-entities regime and chooses to use it, allowing for a streamlined balance sheet, profit and loss account and notes, without the fair value accounting and disclosure requirements you would find in a larger framework. Whether you trade as a small limited company, a consultancy, a trades business or a local retailer in Eyemouth and the surrounding Scottish Borders, professional preparation helps ensure your accounts reflect your actual financial records, are presented consistently year on year, and are put together with your company’s specific circumstances in mind. It is worth remembering that FRS 105 is an option rather than an automatic entitlement — eligibility depends on meeting the relevant size conditions and on any applicable exclusions — so part of the process is confirming that the micro-entities regime is genuinely the right fit for your company before the accounts are drawn up. Our role is to take the detail off your hands: reviewing your bookkeeping, preparing the FRS 105 accounts, and helping you understand what the figures mean for your business, so you can get on with running it.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: What the Micro-Entities Regime Means for Your Company

In plain terms, FRS 105 is the UK accounting standard written specifically for micro-entities — the smallest companies that qualify for the micro-entities regime under company law. When a qualifying company chooses to apply that regime, FRS 105 is the framework it uses to prepare its annual financial statements. The idea behind it is proportionality: rather than applying the fuller recognition, measurement and disclosure requirements designed for larger businesses, a micro-entity can prepare a simpler set of accounts that still gives a true and fair view of the company’s position. In practice that usually means a concise balance sheet, a profit and loss account, and a limited set of notes, prepared on a historical cost basis. The regime is a choice, not an obligation. A company that qualifies for the micro-entities regime may still decide that a different framework better suits how it reports — for example where it wants to present certain items differently or where a lender or investor has particular expectations. FRS 105 applies when the micro-entities regime is the chosen route. For a limited company in Eyemouth, understanding this distinction matters because it affects how the accounts look, what is disclosed, and how the figures flow into the rest of your company’s reporting obligations.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for UK companies that both qualify for the micro-entities regime and choose to apply it. Qualifying is a two-part test: the company has to fall within the size conditions, and it must not be caught by any of the exclusions that keep certain entities out of the regime, such as particular regulated or ineligible company types. On the size side, for accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees in the period. Meeting two of those three tests is the starting point, not the whole answer — the exclusions and the detailed rules still have to be checked, and a company that meets the thresholds is not automatically guaranteed eligibility. Nor is the regime compulsory for those who do qualify; a company may decide that another framework better reflects how it reports. For an Eyemouth-based company, the practical step is to look at the actual figures and the company’s structure, confirm whether the micro-entities regime is available, and then decide whether applying FRS 105 is the right choice before the accounts are prepared.

A company generally needs to meet at least 2 of these 3 conditions.

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Professionally Prepared FRS 105 Accounts with Accurate Financial Reporting

Accurate FRS 105 Micro Entity Accounts start with accurate records. We work from your bookkeeping, bank information, sales and purchase records and any other supporting documentation you hold, then prepare a set of FRS 105 financial statements that reflects those records and the applicable reporting requirements for the micro-entities regime. That includes confirming that the framework is appropriate for your company before any figures are finalised, choosing sensible accounting policies, and making sure the balance sheet, profit and loss account and notes are internally consistent and presented clearly. It is important to keep the different filing obligations separate in your mind. The FRS 105 accounts are the company’s statutory financial statements, which are generally filed with Companies House as part of the annual accounts requirement. A Corporation Tax Return (CT600) is a different submission altogether — it is sent to HMRC and deals with the company’s tax position rather than its statutory reporting. Likewise, a Confirmation Statement is a separate Companies House filing that confirms company details are up to date, and it is not a set of accounts. We can help you understand how these fit together for your Eyemouth company so that nothing is overlooked, and so the accounts you file are based on the information you have provided and prepared in line with the framework you have chosen.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how a qualifying company that has chosen to apply the micro-entities regime prepares its annual financial statements. The framework is deliberately simpler than the standards used by larger companies, focusing on a concise balance sheet, a profit and loss account and limited notes, generally prepared on a historical cost basis.

FRS 105 is available to companies that qualify for the micro-entities regime and then choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Other eligibility rules and exclusions can apply, and certain types of company are not able to use the regime. Meeting the size tests alone does not automatically guarantee eligibility, so each company's position needs to be considered on its own facts.

No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies for it may still choose to prepare its accounts under a different framework, for example where that better reflects what the company or its lenders and investors need. FRS 105 applies when the micro-entities regime is the route the company has decided to take.

Both are UK accounting standards, but they serve different sizes of entity. FRS 102 is the general standard used by a broad range of companies and includes fuller recognition, measurement and disclosure requirements, including areas such as fair value accounting and more extensive notes. FRS 105 is the micro-entities standard and is far more streamlined, with simpler measurement rules and much reduced disclosure. The right choice depends on whether your company qualifies for the micro-entities regime and whether applying it suits your circumstances.

Statutory annual accounts, including FRS 105 accounts where that framework is used, generally need to be filed with Companies House. That filing is separate from the company's Corporation Tax Return and also separate from its Confirmation Statement. We can help you understand how the accounts preparation and the various filings fit together for your Eyemouth company, though it is your responsibility as a director to ensure the correct filings are made on time.

Yes, they are different things. FRS 105 Micro Entity Accounts are the company's statutory financial statements, prepared under the micro-entities framework and generally filed with Companies House. A CT600 is a Corporation Tax Return submitted to HMRC, which deals with the company's tax position. The figures in your accounts will usually inform the tax return, but preparing and submitting the two is a distinct exercise, and filing accounts does not itself settle any tax liability.

A newly incorporated company can apply the micro-entities regime in its first accounting period if it qualifies and chooses to do so. Because a first period often covers more than 12 months, or covers a shorter period than a full year, the size conditions need to be considered carefully in that context. It is worth reviewing the position early, before the year end, so the bookkeeping and reporting are set up in a way that supports the framework you intend to use.

Typically we would need your bookkeeping records or accounting software access, bank and credit card statements, sales and purchase information, details of any assets and liabilities, stock or work-in-progress figures where relevant, and information about directors' loans or any other balances with the company. If you have last year's accounts or an opening position from incorporation, that helps too. The more complete the records, the smoother the preparation process tends to be.

Company filing requirements do change from time to time, and there has been ongoing reform of the accounts filing regime in the UK. Because the detail and timing of such changes can shift, and because they may affect how and where accounts are submitted, it is sensible to check the current position with us or with the relevant authority before you file. We can talk you through what the requirements look like for your company's next set of FRS 105 Micro Entity Accounts.
