FRS 105 Micro Entity Accounts in Egham: Clear, Professional Support for Qualifying Companies

If your company is based in Egham and you are weighing up how to prepare and file your annual accounts, FRS 105 Micro Entity Accounts are often worth a closer look. FRS 105 is the financial reporting framework that applies when a qualifying company chooses to adopt the UK micro-entities regime, allowing the financial statements to be prepared in a simplified form that suits the size and complexity of a genuinely small business. The key word here is qualifying: the regime is an option, not an automatic entitlement, and eligibility depends on the company’s size and on whether any exclusions apply. Professional preparation helps ensure the accounts are put together appropriately for your circumstances, that the figures reconcile to your underlying records, and that the information presented is consistent with the framework you have chosen. We work with limited companies across Egham and the surrounding area, taking the time to understand how the business operates before deciding how the accounts should be presented.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: What the Micro-Entities Regime Means for Your Company

FRS 105 is the UK financial reporting standard written specifically for micro-entities — very small companies that meet the size conditions set for the micro-entities regime and decide to apply it. In plain terms, it is a simplified accounting framework. It allows eligible companies to prepare their financial statements using a lighter set of rules, with fewer disclosures and simpler measurement requirements than the larger frameworks. The important point is that FRS 105 is not something a company applies by default. The micro-entities regime is an available regime, and FRS 105 applies when a qualifying company chooses to use that regime rather than the small companies regime under FRS 102 Section 1A. So the first step is always to check whether the company qualifies, and the second is to decide whether the micro-entities regime is the most sensible fit for the business, its lenders, its shareholders, and anyone else who relies on the accounts. If you are unsure where your company sits, a short conversation usually makes things much clearer.

Who Can Use FRS 105 in the UK? Qualifying for the Micro-Entities Regime

FRS 105 is intended for companies that qualify for the UK micro-entities regime and that choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Those tests are a starting point rather than a complete answer. Certain companies are excluded from the micro-entities regime regardless of size, other eligibility rules may apply, and meeting the size conditions does not oblige a company to adopt the regime — it remains a choice. This is why we look at each company’s circumstances individually before recommending an approach, rather than assuming that being small automatically means FRS 105 is appropriate.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Micro Entity Accounts with Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts properly starts with good bookkeeping and ends with financial statements that reflect the company’s actual position. We work from your financial records — bank transactions, sales invoices, supplier bills, payroll information, asset purchases and any loans — to build a set of accounts that is consistent with the micro-entities regime and the framework that applies to your company. That means the profit and loss account, balance sheet and supporting notes are prepared in line with the applicable reporting requirements, and in a format suitable for the company’s circumstances. It is worth keeping two things clearly separate in your mind: the preparation of the financial statements and the filing of those accounts with Companies House on the one hand, and the company’s Corporation Tax position on the other. A CT600 is a separate filing made to HMRC, and having FRS 105 accounts does not replace it. We can help you understand how the two fit together so nothing is missed.

FRS 105 is the UK financial reporting standard that applies to companies choosing to use the micro-entities regime. It is a simplified framework, designed for very small companies, with fewer disclosure requirements and simpler measurement rules than the frameworks used by larger businesses. It sits alongside FRS 102, which contains the small companies regime in Section 1A.

FRS 105 is available to companies that qualify as micro-entities and that choose to apply the micro-entities regime. Qualifying is not simply a matter of being small in a general sense — the company has to meet the relevant size conditions and must not fall within any of the exclusions that apply to the regime. Meeting some or all of the size tests does not automatically mean the regime must be used; it is a choice.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Other rules and exclusions can affect whether the regime is available, so it is worth checking your specific position rather than assuming the thresholds alone settle the question.

No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies may choose to use it, but it may instead prepare accounts under the small companies regime in FRS 102 Section 1A. The better choice often depends on who uses the accounts and what they need from them, so it is a decision worth making deliberately.

FRS 102 is the main financial reporting standard for UK companies, and it includes a small companies regime in Section 1A. FRS 105 is narrower and more simplified: it applies only to qualifying micro-entities that choose the micro-entities regime, and it permits a more basic presentation of the financial statements with fewer disclosures and simpler measurement rules.

Yes — the accounts are still filed at Companies House, but micro-entity accounts can be filed in a simplified format. Companies House filing requirements have been changing, including a move towards filing accounts using software and revised filing options for small and micro-entities. We can confirm what currently applies to your company when we look at your circumstances.

Yes, they are two different things. FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities regime and filed at Companies House. A CT600 is the Corporation Tax Return, which is submitted separately to HMRC and is based on the company's tax position. Preparing one does not replace the other, and both may be required.

A newly incorporated company may be able to use FRS 105 for its first accounting period if it qualifies for the micro-entities regime and chooses to apply it. Special rules apply to first periods, so it is worth checking the position from the outset rather than assuming. If you are setting up a company in or around Egham, we can look at your expected activity and structure and explain the likely options.

Typically we would need your bookkeeping or accounting records for the period, bank statements, sales invoices and supplier bills, details of any assets purchased or sold, information about loans and directors' transactions, payroll or staff numbers, and a copy of the previous year's accounts if there is one. If your records are incomplete, we can talk through what is needed to bring them up to a usable standard.
