FRS 105 Micro Entity Accounts in East Anglia

FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities regime, the simplified UK reporting framework available to companies that qualify as micro-entities and choose to apply it. For many small companies across East Anglia — from Norwich and Cambridge to Ipswich, Peterborough and the surrounding counties — FRS 105 offers a more streamlined way to present financial information than the fuller frameworks used by larger businesses, with a shorter balance sheet, simpler disclosures and a format designed around the needs of very small companies. Professional preparation helps to ensure those accounts are built properly from your bookkeeping and financial records, reflect your company’s actual circumstances, and are presented in line with the requirements that apply to the micro-entities regime. It also helps to separate the accounts themselves from the other filings a company may have, such as its Corporation Tax Return or Confirmation Statement, so nothing is confused or overlooked. Because eligibility is not automatic and depends on the company’s size and any relevant exclusions, a conversation about your position is usually the sensible first step.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: What the Micro-Entities Regime Means for Your Company

In simple terms, FRS 105 is the financial reporting standard that sets out how a qualifying micro-entity prepares its accounts when it chooses to use the UK micro-entities regime. It is one of several reporting frameworks available in the UK, and it sits at the simplest end of the scale: fewer notes, a more compact balance sheet, and far less disclosure than the fuller standards used by larger companies. The regime is optional. A company that meets the size conditions for a micro-entity may decide to apply the micro-entities regime, and if it does, FRS 105 is the standard that governs how those financial statements are put together. If it decides not to, a different framework applies instead. What FRS 105 does not do is change your tax position — it is an accounting and reporting framework, so the accounts prepared under it are a separate matter from your Corporation Tax Return (CT600), which is filed with HMRC rather than prepared under FRS 105. For owners of small companies in East Anglia, the appeal is straightforward: clear, proportionate financial statements that meet the reporting requirements for micro-entities without the weight of a full set of disclosures. The detail still matters, which is why the figures, the format and the supporting records all need to be right.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for UK companies that qualify for the micro-entities regime and decide to apply it — qualification alone does not oblige anyone to use it. The size test is the starting point. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting two of those conditions is a useful indicator, but it is not the whole picture. The micro-entities regime also carries its own rules and exclusions, and certain companies are prevented from using it whatever their size. Eligibility can also change from one period to the next as a business grows or takes on staff. For companies in East Anglia — whether you are a small trading company in Norfolk, Suffolk, Cambridgeshire or Essex, or a service business working from a single office — the practical question is whether the regime fits your circumstances as well as your size. Reviewing the position before each period’s accounts are prepared is the reliable approach, and it is something we are glad to go through with you in plain terms.

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

Professionally Prepared FRS 105 Accounts with Accurate Financial Reporting

Good FRS 105 Micro Entity Accounts start with good records. We prepare your financial statements from the information you provide — bookkeeping, bank records, sales and purchase details, payroll information and any other supporting documents — and present them in the format that the micro-entities regime requires for a company of your size and circumstances. That means a balance sheet prepared on the correct basis, the limited disclosures that apply under FRS 105, and figures that tie back to the underlying records rather than to estimates. Just as importantly, we keep the different obligations clear. Preparing and finalising your FRS 105 financial statements is one piece of work; filing those accounts with Companies House is a separate step; and your Corporation Tax Return (CT600) is a separate submission to HMRC that draws on the same figures but follows tax rules rather than accounting standards. A Confirmation Statement is separate again. Treating these as distinct tasks helps avoid the common confusion of assuming that accounts filed under FRS 105 also settle a company’s tax filing obligations. Where the numbers raise questions or the position is not straightforward, we explain the options in plain English so you can make an informed decision about how to proceed.

FRS 105 is the UK financial reporting standard that applies when a qualifying micro-entity chooses to prepare its accounts under the micro-entities regime. It is the simplest of the UK reporting frameworks, offering a shorter balance sheet and far fewer disclosure notes than standards such as FRS 102. In effect, it tells you how the financial statements of a micro-entity should be laid out and what must be included in them.

FRS 105 is intended for companies that both qualify for the micro-entities regime and choose to apply it. Qualifying is a matter of size, and for accounting periods beginning on or after 6 April 2025 a company generally needs to meet at least 2 of 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Other rules and exclusions can apply, and some companies are excluded regardless of size, so meeting the thresholds does not by itself confirm eligibility.

No. The micro-entities regime is an available regime, not a mandatory one. A company that qualifies may choose to apply it, and FRS 105 is the standard that then governs how the accounts are prepared. A qualifying company can instead prepare its accounts under a fuller framework if that suits its circumstances better — for example, where lenders, investors or group arrangements call for more detailed reporting.

Both are UK financial reporting standards, but they sit at different levels of complexity. FRS 105 is designed for micro-entities and is the more streamlined of the two, with fewer notes and a simpler presentation. FRS 102 is used by a much wider range of companies and generally requires more detailed disclosures, more judgement in areas such as accounting policies, and a fuller set of notes. The right choice depends on whether your company qualifies for the micro-entities regime and whether applying it makes sense for how the accounts will be used.

Yes. Where a company prepares its annual accounts under FRS 105, those accounts are the statutory accounts for that period and are filed with Companies House in the usual way, within the filing window that applies to the company. Filing is a separate administrative step from preparing the accounts themselves, and it is distinct from anything submitted to HMRC.

Yes, they are two different things. FRS 105 governs how the financial statements are prepared and presented. The CT600 is the Corporation Tax Return submitted to HMRC and is calculated under tax rules rather than accounting standards. The figures in your FRS 105 accounts normally feed into the tax computation and the return, but filing the accounts does not discharge your Corporation Tax obligations, and the CT600 is not prepared under FRS 105.

A newly incorporated company can potentially use FRS 105 if it qualifies as a micro-entity for the period in question and chooses to apply the micro-entities regime. In a first period this often means looking at expected or actual turnover, the balance sheet position and employee numbers, along with any exclusions that might apply. It is worth confirming the position before the first set of accounts is prepared, because the framework chosen shapes the format of those accounts from the outset.

Typically we need your bookkeeping or accounting records for the period, bank and cash records, details of sales and purchases, payroll and employee information, any loans or hire purchase agreements, and records of fixed assets and stock if relevant. Details of share capital, directors' loans and any previous accounts are also useful. The clearer and more complete the records, the more straightforward the preparation of the financial statements tends to be.
