FRS 105 Micro Entity Accounts in Durham for Qualifying Companies

FRS 105 Micro Entity Accounts are the statutory financial statements prepared under the micro-entities regime for companies that qualify for it and choose to apply it. FRS 105 sets out the financial reporting framework for those qualifying micro-entities, offering a simpler and more streamlined basis of preparation than the fuller standards used by larger companies. If your company is based in Durham and you are weighing up how to prepare and file your annual accounts, professional support can help you establish whether the micro-entities regime is appropriate for your circumstances, gather the records needed, and prepare FRS 105 Micro Entity Accounts that reflect your business accurately and are set out in line with the applicable reporting requirements. Eligibility is not automatic — a company must meet the relevant size conditions and any other applicable rules and exclusions, and applying the regime is a choice rather than a default. Working with an experienced preparer means those points are considered properly before the accounts are finalised.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Regime in Plain English

FRS 105 is a UK financial reporting standard written specifically for micro-entities. In simple terms, it is the rulebook used to prepare the annual financial statements of very small companies that qualify for the micro-entities regime and decide to use it. The regime exists to reduce the reporting burden on the smallest businesses, so FRS 105 takes a simpler approach: fewer disclosure notes, simpler measurement rules, and less complexity overall than the standards applied by larger companies. A typical set of FRS 105 Micro Entity Accounts in Durham would include a balance sheet, a profit and loss account, and a limited set of notes. Importantly, FRS 105 is not compulsory for everyone — qualifying companies can choose to apply the micro-entities regime, and FRS 105 applies when that regime is the one chosen. If a company does not qualify, or prefers a fuller reporting basis, a different framework such as FRS 102 will be relevant instead. Understanding which framework fits your company is the starting point for getting your accounts right.

Who Can Use FRS 105 in the UK? Eligibility for the Micro-Entities Regime

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions on its own does not automatically guarantee eligibility, because other eligibility rules and exclusions can apply — certain company types are excluded from the regime, and the conditions must be assessed against the correct period and the rules in force at that time. On top of that, using the micro-entities regime is a decision, not an obligation: a qualifying company may still prefer to report under a fuller framework such as FRS 102. If you are unsure where your Durham company stands, a review of your circumstances and figures will give you a much clearer answer before any accounts are prepared.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Micro Entity Accounts and Accurate Financial Reporting

Professionally prepared FRS 105 Micro Entity Accounts start with your company’s own financial records — bookkeeping, bank and payment records, invoices, payroll information, asset details and any loans or balances owing. From there, the accounts are drafted under the FRS 105 framework and the applicable reporting requirements, with the figures checked for consistency and the disclosures kept to what the standard requires for a micro-entity. Two separate obligations are worth keeping clearly in mind: the preparation of the financial statements and the filing of accounts with Companies House on the one hand, and the company’s Corporation Tax obligations, including the CT600 return submitted to HMRC, on the other. They feed into one another, but they are not the same thing and have different deadlines and submission routes. Our role in Durham is to prepare the accounts accurately and on a sound basis, and to explain the figures and the choices made so you understand what is being filed. No preparer can guarantee a particular filing outcome, and nothing here should be read as approval or endorsement by any regulator.

FRS 105 is the UK financial reporting standard that applies to companies using the micro-entities regime. It sets out how the smallest qualifying companies prepare their annual financial statements, with simplified measurement rules and far fewer disclosure requirements than the standards used by larger businesses. A set of FRS 105 accounts typically includes a balance sheet, a profit and loss account and a small number of notes.

No. The micro-entities regime is an available accounting regime rather than a mandatory one. A company that qualifies for it can choose to apply it, and FRS 105 is the standard used when that choice is made. Some qualifying companies instead prepare accounts under a fuller framework such as FRS 102, and some may not be eligible for the micro-entities regime at all.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting the size conditions is not the whole story, because other rules and exclusions can apply and certain companies are prevented from using the regime. Eligibility therefore needs to be assessed for your specific company and accounting period.

FRS 105 is the streamlined framework for micro-entities using the micro-entities regime, while FRS 102 is a fuller framework used by a much wider range of companies, including those who do not qualify for the micro-entities regime. FRS 105 permits fewer accounting policy choices — for example, it does not allow the fair value or revaluation options available under other frameworks — and it requires considerably fewer notes to the accounts. The trade-off is that the accounts are simpler but less detailed.

Statutory accounts for a limited company are generally filed with Companies House, and micro-entity accounts are no exception, subject to the filing requirements that apply to your company. The accounts are prepared first and then delivered to Companies House, and the format in which they can be filed is subject to Companies House rules. Filing the accounts is a separate exercise from dealing with the company's Corporation Tax position.

Yes, they are two distinct filings. FRS 105 Micro Entity Accounts are the company's financial statements prepared under the micro-entities regime, and they are filed with Companies House. The CT600 is a Corporation Tax Return submitted to HMRC. The figures in the accounts usually inform the tax computation, but the return itself is a separate document with its own deadline and submission route, so the two should never be treated as interchangeable.

A newly incorporated company may be able to use FRS 105 if it qualifies for the micro-entities regime and chooses to apply it. The size conditions are tested against the relevant period, and for a first accounting period the figures may need to be considered on the basis set out in the applicable rules. Because other eligibility rules and exclusions can also come into play, it is worth checking your position before deciding on a framework.

In practice, we need a clear picture of the company's financial activity for the period. That usually means bookkeeping or accounting records, bank statements and payment records, sales and purchase information, payroll details, information on any assets owned, details of loans, director's loans or amounts owed, stock or work in progress where relevant, and a copy of the previous year's accounts if there are any. Accurate records make the preparation process smoother and reduce the number of queries raised along the way.

Companies House has been moving towards filing accounts in a more structured, software-based format, and there have been changes to what small and micro-entity companies are expected to file as part of wider company law reforms. Because the detail and timing of these changes can be updated, it is sensible to check the current Companies House guidance for your filing period rather than relying on older assumptions about what can be submitted.
