FRS 105 Micro Entity Accounts in Dedham

FRS 105 Micro Entity Accounts are the financial statements prepared under FRS 105, the UK reporting standard for companies that qualify for the micro-entities regime and choose to apply it. For a company based in Dedham, this simplified framework can make annual reporting far more manageable, with a short balance sheet, profit and loss account and a limited set of notes rather than lengthy disclosures. Professional preparation helps ensure your FRS 105 Micro Entity Accounts are built from accurate records, reflect your company’s actual circumstances and are set out in line with the applicable reporting requirements. It also keeps the different obligations clearly separated: your statutory accounts, any Companies House filing, the Corporation Tax Return (CT600) submitted to HMRC, and the Confirmation Statement are all distinct pieces of work with their own purposes and deadlines.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: What It Is and Why It Matters

In plain terms, FRS 105 is the accounting standard that UK companies use when they qualify as micro-entities and choose to apply the micro-entities regime. It sets out how their financial statements — a balance sheet, a profit and loss account and a small number of notes — should be prepared, and it is deliberately streamlined: the accounts are based on historical cost, some of the more complex treatments permitted under other standards are not available, and the disclosure requirements are kept to a minimum. That makes FRS 105 Micro Entity Accounts quicker and more economical to prepare while still giving a clear picture of the company’s assets, liabilities and results. The important point is that this is a choice rather than an automatic entitlement: a company must first meet the eligibility conditions for the micro-entities regime, and FRS 105 is the standard that applies when that regime is selected.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for UK companies that qualify for the micro-entities regime and choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees over the period. There are also additional rules and exclusions — for example, some companies are excluded regardless of their size, and group structures can affect the position — so satisfying the size conditions alone does not automatically guarantee eligibility. Companies in and around Dedham often find it helpful to review their figures, structure and reporting needs before deciding whether the micro-entities regime is the right fit for them.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Micro Entity Accounts and Accurate Financial Reporting

Accurate financial reporting starts with good records and careful preparation. We prepare FRS 105 Micro Entity Accounts from your bookkeeping, bank statements, invoices, payroll information and other supporting documents, applying the recognition, measurement and disclosure requirements of the micro-entities regime to the transactions your company has actually made. Preparation of the financial statements and the filing of accounts at Companies House are treated as separate steps, and Corporation Tax is separate again — a CT600 is submitted to HMRC and is not the same document as your statutory accounts. We work carefully and in line with the applicable reporting requirements, but acceptance of any filing remains a matter for Companies House and tax positions are determined by HMRC, so no particular outcome can be guaranteed in advance.

FRS 105 is the financial reporting standard that applies to UK companies using the micro-entities regime. It is deliberately simpler than the standards used by larger companies: the accounts are prepared on a historical cost basis, certain accounting treatments available elsewhere are not permitted, and the disclosure requirements are reduced to a short set of notes. In practice, an FRS 105 balance sheet and profit and loss account look much shorter than accounts prepared under FRS 102, which is why it appeals to very small companies that want straightforward, cost-effective reporting.

FRS 105 is available to companies that qualify as micro-entities and choose to apply the micro-entities regime. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions is not the whole story, however — other eligibility rules and exclusions apply, and some companies are excluded regardless of size, so eligibility should always be checked against your specific circumstances.

No. The micro-entities regime is an available accounting regime rather than a mandatory one. A company that qualifies as a micro-entity can choose to apply it — and FRS 105 applies when that choice is made — but it may instead prepare accounts under FRS 102 or another framework where that is appropriate. The decision often comes down to the level of detail that is useful to the owners and any lenders, alongside the reporting and filing requirements that apply to the company.

FRS 102 is the main financial reporting standard for UK companies, with different sections applying depending on whether a company is small, and it permits a wider range of accounting treatments, including revaluations and certain fair value measurements. FRS 105 is a separate, stand-alone standard for the micro-entities regime: it is based on historical cost, does not permit revaluation or the recognition of deferred tax, and requires far fewer disclosures. FRS 102 accounts therefore tend to be longer and more detailed, while FRS 105 accounts are shorter, simpler and quicker to produce.

Where a company prepares accounts under the micro-entities regime, those accounts generally form the statutory accounts that are delivered to Companies House, subject to the filing options and requirements that apply to that company. Filing statutory accounts at Companies House is separate from filing a Corporation Tax Return (CT600) with HMRC, and separate again from the Confirmation Statement. Getting the preparation right first makes the filing step much more straightforward.

Yes, they are different documents with different purposes and different recipients. FRS 105 accounts are financial statements prepared under the accounting framework and delivered to Companies House where required. A CT600 is the Corporation Tax Return submitted to HMRC, reporting the company's taxable profits and calculating the tax due. The accounts are usually the starting point for the tax return, but tax adjustments can mean the taxable figure differs from the accounting profit shown in the accounts.

It can, provided it qualifies for the micro-entities regime and chooses to apply it. A newly incorporated company has no preceding financial year to look back on, so eligibility for its first accounting period is generally assessed on that period. If turnover, balance sheet total and employee numbers are expected to stay within the micro-entity limits, FRS 105 is often worth considering — but it is sensible to confirm the position, particularly where the company is part of a group or operates in a regulated sector.

Typically you will need complete bookkeeping or accounting records for the period, bank and credit card statements, sales invoices and purchase receipts, payroll information, details of any assets bought or sold, loan or finance agreements, stock or work-in-progress figures where relevant, and the previous year's accounts. If a Corporation Tax Return is being prepared as well, information on expenses, capital allowances and any other income is helpful. Supplying records promptly and in good order keeps the whole process running smoothly.
