FRS 105 Micro Entity Accounts in Cumbernauld

FRS 105 Micro Entity Accounts are prepared under the financial reporting framework that applies to qualifying UK micro-entities that choose to use the micro-entities regime. If your company is based in Cumbernauld and keeps things simple, FRS 105 can offer a streamlined way to present your financial statements — but it is not automatic, and it is not right for every company. Eligibility depends on meeting the relevant size conditions and on whether any exclusions apply to your circumstances. Professional preparation helps you work through that assessment properly, then builds a set of accounts that reflects your actual records, your accounting policies and the disclosure requirements that apply under the micro-entities regime. Whether you are filing your first set of accounts or moving across from a different framework, the aim is straightforward: accounts that are prepared appropriately, explained clearly, and ready for the next step in your company’s filing cycle.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Reporting Framework

FRS 105 is the UK financial reporting standard written specifically for micro-entities. In plain terms, it is the rulebook that tells you how to put together a set of statutory accounts when a company qualifies for the micro-entities regime and decides to use it. FRS 105 is deliberately simpler than the standards used by larger companies: it focuses on a straightforward, largely historical cost approach, and it comes with reduced disclosure requirements, so the finished financial statements are shorter and easier to read than those prepared under a fuller framework. The important point is the connection between the two ideas. The micro-entities regime is an available accounting regime for companies that meet the qualifying conditions — it is a choice, not an obligation, and it is not a label that every small company automatically carries. FRS 105 is the standard that applies when that regime is the one you have chosen. So if you run a company in Cumbernauld and want accounts that are proportionate to the size and complexity of what you do, FRS 105 is often the framework people ask about first.

Who Can Use FRS 105 in the UK?

FRS 105 is available to UK companies that qualify for the micro-entities regime and choose to apply it. Qualification is based on size. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Two points matter here. First, the size conditions are a starting point, not the whole answer — other eligibility rules and exclusions can apply, and certain companies are not eligible regardless of their size, so meeting the thresholds does not by itself guarantee access to the regime. Second, even a qualifying company is not obliged to use it. The micro-entities regime is a choice, and FRS 105 applies when that choice is made. If you run a company in Cumbernauld and want to know where you stand, the sensible approach is to review your figures and your circumstances together rather than assume eligibility either way.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Accounts and Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts properly means starting from the company’s own financial records — bank transactions, sales and purchase information, payroll data, asset details and any relevant agreements — and working through them to produce financial statements that reflect the framework’s recognition, measurement and disclosure requirements. It also means thinking about the judgements involved: what the balance sheet total actually is, whether the company still meets the qualifying conditions for the period in question, and how the accounts should be presented for the reader. Our role is to prepare those financial statements on the basis of the information you provide and the reporting requirements that apply to your company. It is worth keeping two separate things clearly apart. First, there is the preparation of the accounts and their submission to Companies House as part of your statutory filing obligations. Second, there is Corporation Tax: a CT600 is a distinct filing made to HMRC, and it is not the same document as a set of FRS 105 financial statements. A Confirmation Statement is separate again. We can talk you through how each of those fits together for your company in Cumbernauld, without overstating what any single filing does.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how a qualifying company that chooses to apply the micro-entities regime should prepare its statutory financial statements, including the recognition and measurement rules and the disclosures required. It is intentionally simpler than the standards used by larger companies, with a largely historical cost basis and reduced disclosure, which keeps the resulting accounts shorter and more straightforward.

FRS 105 is intended for companies that qualify for the micro-entities regime and then choose to apply it. Qualifying is not the same as being required to use it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Other eligibility rules and exclusions can apply, so meeting the size conditions alone does not automatically confirm eligibility — the position needs to be checked against your specific circumstances.

No. The micro-entities regime is an available accounting regime, not an automatic one. A company that qualifies may choose to apply it and therefore prepare FRS 105 accounts, or it may use a fuller framework instead — for example FRS 102. There can be good reasons to prefer a fuller framework, such as the way certain transactions are treated or what the accounts need to support. The decision should be made deliberately for each company rather than assumed.

Both are UK financial reporting standards, but they are aimed at different sizes of entity. FRS 105 is the micro-entities standard: it uses a simpler measurement approach and requires less disclosure, so the accounts are shorter and less complex. FRS 102 is the standard applied more broadly by small and larger entities, with more detailed recognition, measurement and disclosure requirements. In practice, the choice affects how items such as revaluations, certain financial instruments and deferred tax are handled, and how much detail appears in the notes.

A company's statutory accounts are filed at Companies House as part of its filing obligations, and where those accounts are prepared under FRS 105 they are filed on that basis. This is separate from your Corporation Tax position. A CT600 is a distinct return submitted to HMRC, and a Confirmation Statement is a separate filing again. It helps to treat accounts preparation and filing, Corporation Tax, and confirmation of company details as three different pieces of work with different deadlines and different purposes.

Yes, they are separate. FRS 105 accounts are the company's financial statements, prepared under the financial reporting framework for qualifying micro-entities. A CT600 is the Corporation Tax return submitted to HMRC. The figures in the accounts are often the starting point for the tax computation, but the return is its own document with its own requirements and its own submission channel. Preparing one does not automatically complete the other.

A newly incorporated company can potentially qualify for the micro-entities regime, but that depends on its circumstances rather than on how long it has been trading. A company in its first period may need to consider how its size is assessed where a period is shorter than a year, and any relevant exclusions. It is worth reviewing eligibility before preparing the first set of accounts so that the framework chosen is the one that actually suits the company.

Typically we would need your accounting records for the period, including bank statements and reconciliations, sales and purchase information, payroll details if you employ staff, details of assets and liabilities, and any relevant agreements such as loans or leases. It also helps to know your incorporation details, your accounting period dates and any prior year accounts. Once we see what you hold, we can tell you what else is needed and how to get it across to us.

The rules and filing arrangements for small and micro-entity accounts do change from time to time, and the micro-entity size thresholds were updated for accounting periods beginning on or after 6 April 2025. Rather than relying on an old checklist or a figure you read somewhere, it is worth having your position reviewed against the rules that apply to your particular accounting period. We can talk through what is relevant to your company in Cumbernauld and what it means for the accounts you prepare.
