FRS 105 Micro Entity Accounts in Chipping Sodbury

If your company qualifies as a micro-entity and you have chosen to apply the micro-entities regime, FRS 105 Micro Entity Accounts provide the financial reporting framework you will use. FRS 105 is the standard that applies to qualifying micro-entities in the UK, and it allows for simpler financial statements than the standards used by larger companies — but it still needs to be prepared correctly, with the right disclosures and a balance sheet that reflects the company’s position. Our role is to help companies in Chipping Sodbury and the surrounding area prepare FRS 105 Micro Entity Accounts based on their own financial records, transactions and circumstances, so that the figures presented are consistent, properly structured and ready for the relevant filing requirements. Eligibility is not automatic: meeting the size criteria is only part of the picture, and other rules and exclusions can affect whether the micro-entities regime is available to your company. We will work through that with you before any accounts are prepared.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Regime in Plain English

FRS 105 is the UK financial reporting standard written specifically for the micro-entities regime. In simple terms, it is the rulebook a qualifying company follows when it chooses to prepare micro-entity accounts. Rather than producing a long, detailed set of financial statements, a company using FRS 105 prepares a much shorter balance sheet with a small number of required notes, prepared on a simple historical cost basis. There is no fair value accounting, no revaluation of assets and no recognition of deferred tax, which keeps the figures straightforward to follow. It is important to understand that the micro-entities regime is a choice, not a requirement — a qualifying company can apply it, or it can use another standard such as FRS 102. FRS 105 applies when the micro-entities regime is the option taken. The result is a set of FRS 105 financial statements that still need to be accurate, complete and consistent with the company’s underlying accounting records, which is where professional preparation and a careful review of the numbers really earn their keep.

Who Can Use FRS 105 in the UK? Qualifying for the Micro-Entities Regime

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it — it is not a framework available to every small company by default. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those thresholds are the headline test, not the whole story. Other eligibility rules and exclusions can apply depending on the type of company, its activities or its structure, which means a company that fits comfortably within the size limits may still not be able to use the regime. Equally, meeting the size conditions does not oblige a company to use FRS 105 — it remains a choice, and a qualifying company may prefer to prepare accounts under FRS 102 instead. If you are unsure where your Chipping Sodbury company stands, we can review your figures and circumstances and explain the options before any FRS 105 Micro Entity Accounts are prepared.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

Professionally Prepared FRS 105 Micro Entity Accounts with Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts properly means starting from reliable accounting records — your sales, expenses, bank transactions, assets, liabilities and any director’s loan movements — and translating them into a balance sheet and notes that follow the FRS 105 requirements. Our approach is methodical: we review the information you provide, check that transactions have been recorded in the correct period, and prepare financial statements on the basis appropriate to your company’s circumstances. We also keep the two separate obligations clearly in view. Filing accounts with Companies House is one requirement; a Corporation Tax Return (CT600) submitted to HMRC is a different one, with its own figures, adjustments and deadlines. FRS 105 Micro Entity Accounts deal with the accounting and financial reporting side, while the CT600 deals with the company’s tax position — and a set of accounts prepared under FRS 105 does not by itself satisfy the tax filing or vice versa. We can help you understand how the two fit together so nothing is overlooked. What we cannot do is guarantee how any third party will respond to a filing, and we do not suggest that any accounts are formally approved, endorsed or reviewed by Companies House or HMRC. What we can do is prepare and explain your figures clearly so you know what has been filed and why.

FRS 105 is the UK financial reporting standard that applies to companies using the micro-entities regime. It is issued by the Financial Reporting Council and is deliberately streamlined: it sets out a simple historical cost basis for preparing financial statements, allows a short balance sheet with limited notes, and does not permit fair value accounting, asset revaluation or recognition of deferred tax. In practice, FRS 105 Micro Entity Accounts give a clear, condensed picture of a small company's assets, liabilities and equity without the volume of disclosure found in standards used by larger entities.

FRS 105 is available to companies that qualify for the UK micro-entities regime and then choose to apply it. Qualifying is not the same as being required to use it — a qualifying company may instead prepare accounts under a different standard, such as FRS 102. Qualification is assessed against size criteria plus a range of other rules and exclusions, so two companies with similar turnover can end up in different positions. That is why we look at each company's specific circumstances rather than assuming the regime applies.

No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that meets the criteria may choose to apply it and prepare FRS 105 Micro Entity Accounts, or it may decide to use a fuller framework instead. Some companies prefer the greater level of detail in FRS 102, particularly where lenders, investors or group arrangements expect more information. The decision is worth taking deliberately, because switching framework later can affect comparability between years.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the following 3 conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting two of the three is the starting point rather than the whole test — other eligibility rules and exclusions apply, including restrictions relating to certain types of company and activity. We check the position against your actual figures before recommending FRS 105 Micro Entity Accounts.

Both are UK financial reporting standards, but they sit at different levels of complexity. FRS 105 is the micro-entities standard: short financial statements, a small number of notes, historical cost only, no revaluations and no deferred tax. FRS 102, including the small companies provisions in Section 1A, offers a fuller framework with more disclosure requirements and more accounting options, such as certain fair value measurements. FRS 102 gives readers more information; FRS 105 gives a simpler, more condensed set of accounts. Which one is right depends on your company's size, ownership and who needs to see the figures.

A company that prepares accounts under the micro-entities regime still has annual accounts filing obligations, and micro-entity accounts can be filed with reduced disclosure. The accounts are prepared first and then submitted as part of the company's filing obligations. It is worth keeping in mind that Companies House filing is only one of several company requirements — a Confirmation Statement is a separate filing, and neither of those is the same as dealing with Corporation Tax.

Yes, they are distinct. FRS 105 Micro Entity Accounts are prepared under the accounting framework and deal with the company's financial reporting, while the CT600 is a Corporation Tax Return submitted to HMRC and deals with the company's tax position. The two are related — the accounts figures normally feed into the tax computation — but they are separate documents with separate purposes, and preparing one does not automatically complete the other. We can help you see how the figures in your accounts flow through to the tax return.

As a starting point, we would normally ask for your company's accounting records for the period, bank statements and reconciliations, sales and purchase information, details of fixed assets and any depreciation, stock or work in progress figures, amounts owed to and by the company, director's loan movements, and details of any share capital. If the company has traded for a few years, the previous year's accounts help ensure consistency. The cleaner and more complete the records, the more efficiently the accounts can be prepared — but if things are untidy, that is a common situation and we can talk through what needs tidying first.
