FRS 105 provides the financial reporting framework for companies that qualify for the UK micro-entities regime and choose to apply it. Our FRS 105 Micro Entity Accounts support in Carshalto is built around small, owner-managed companies that want their financial statements prepared under the simplified rules the micro-entities regime allows. We look carefully at your company’s circumstances, records and reporting requirements before confirming an approach, because not every small company automatically qualifies for the regime and other eligibility rules, exclusions and restrictions can apply. Where FRS 105 is suitable and has been chosen, we can help prepare accounts that reflect the company’s position under that framework, keeping the process proportionate to a micro-entity and avoiding unnecessary complexity.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: What the UK Micro-Entities Accounting Framework Means for Your Company

FRS 105 is a UK accounting standard designed for micro-entities. In straightforward terms, it sets out a simplified financial reporting framework that a qualifying company can use when it chooses to apply the UK micro-entities regime. That regime is optional — a company has to be eligible, and then it can decide whether applying FRS 105 is the right fit for its circumstances. When the micro-entities regime is used, FRS 105 provides the rules for preparing the financial statements, including how assets, liabilities, income and expenses are recognised and measured, and what needs to be disclosed. It is often attractive to small companies because it generally leans towards historical cost and requires fewer disclosures than broader frameworks such as FRS 102. For a Carshalto-based company, the practical questions are usually whether the business qualifies, whether the directors want to use the regime, and what the resulting accounts should look like. We can talk those points through with you before any work begins.

Who Can Use FRS 105 in the UK? Eligibility for the Micro-Entities Regime

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those figures are a starting point, not the whole test. Other eligibility rules and exclusions can apply, and certain types of company may be unable to use the regime regardless of their size. Meeting the size thresholds alone therefore does not guarantee eligibility. If your company is based in Carshalto or elsewhere in the UK and you are considering FRS 105 Micro Entity Accounts, we can help review your circumstances and explain whether the micro-entities regime appears to be available for the period in question.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

Accurate, Professionally Prepared FRS 105 Micro Entity Accounts for Carshalto Companies

Professionally prepared FRS 105 Micro Entity Accounts begin with reliable bookkeeping and a clear understanding of the company’s transactions. We work from your financial records — bank statements, sales and purchase information, payroll details, expense schedules, asset and liability information, loan agreements and any other relevant documents — to build the figures for the financial statements. We then prepare the accounts in line with FRS 105 where the micro-entities regime applies, reviewing the presentation so it fits the company’s circumstances. Filing financial statements with Companies House is a separate step from dealing with Corporation Tax, and a CT600 Corporation Tax Return is a distinct submission to HMRC. We can help coordinate the accounts, the Companies House filing and the tax position so the obligations are kept clear, but the company and its directors remain responsible for the accuracy of the information provided and for meeting their filing deadlines.

FRS 105 is the UK financial reporting standard for micro-entities. It is a simplified accounting framework that a qualifying company can apply when it chooses to use the UK micro-entities regime. It sets out how the financial statements should be prepared and what should be disclosed, with a focus on keeping reporting proportionate for very small companies.

FRS 105 is intended for companies that qualify for the micro-entities regime and decide to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, balance sheet total of no more than £500,000, and an average of no more than 10 employees. Other eligibility rules and exclusions can apply, so meeting those size thresholds alone does not automatically guarantee that the regime is available. Earlier periods have different limits, and we can check the position for your specific accounting period.

No. The micro-entities regime is an available accounting regime rather than a requirement. A company that qualifies can choose whether to apply it. Some qualifying companies prefer to use a different framework for reasons such as group reporting requirements, lender requests or future plans to grow or seek investment. FRS 105 applies when the micro-entities regime is chosen.

Both are UK accounting standards, but they are aimed at different sizes of company. FRS 105 is specifically for micro-entities and is simpler and more restrictive, generally using historical cost and requiring fewer disclosures. FRS 102 is a broader framework used by many small and larger companies, with more recognition, measurement and disclosure requirements. The right choice depends on eligibility, what the users of the accounts need, and the company's plans.

Where a company prepares its accounts under FRS 105, those financial statements will generally need to be filed with Companies House as part of its annual accounts filing obligation, subject to the company's circumstances and any exemptions that apply. Filing accounts is separate from filing a Confirmation Statement, and both are separate from Corporation Tax. We can help identify which filings apply, but the company remains responsible for meeting its deadlines.

Yes. FRS 105 concerns the accounting and financial reporting framework used to prepare the company's financial statements. A CT600 is a Corporation Tax Return submitted to HMRC to report the company's taxable profits and tax position. The figures in the accounts often inform the tax return, but they are separate filings for separate purposes, with different rules and deadlines. Preparing FRS 105 accounts does not itself file the CT600.

A new limited company may be able to use FRS 105 if it qualifies for the micro-entities regime and chooses to apply it. In the first period, the size conditions are considered against that period, and other eligibility rules and exclusions still need to be taken into account. Many new companies begin small enough to fall within the size limits, but that is not automatic and it should always be checked against the actual figures and circumstances.

Typically, we need the company's bookkeeping or accounting records for the period, bank and credit card statements, sales and purchase invoices or summaries, payroll information if relevant, details of any assets and liabilities, loan or finance agreements, and previous accounts if available. We also need to know whether the micro-entities regime is being applied and whether there are any special circumstances, such as group relationships, non-standard transactions or changes in the business during the year.
