FRS 105 Micro Entity Accounts in Calmore

FRS 105 Micro Entity Accounts are the financial statements produced under the micro-entities regime, the reporting framework available to UK companies that meet the relevant size conditions and choose to apply it. In Calmore and across the UK, qualifying companies use FRS 105 because it offers a simpler, shorter set of accounts than the standards designed for larger businesses. Professional preparation starts with a review of your bookkeeping, bank records and balances, then builds a balance sheet and profit and loss account in the format the micro-entities regime requires, with the limited disclosures that apply. It also means the accounts are put together with your company’s individual circumstances in mind — its trading pattern, its assets and liabilities, and any activity-based or entity-based rules that could affect eligibility — so the figures presented are consistent and properly supported. Eligibility is never automatic, and choosing the regime is a decision that should be made deliberately rather than by default.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: What the Micro-Entities Regime Means for Your Company

FRS 105 is the Financial Reporting Standard that applies to the UK micro-entities regime. It is a self-contained accounting standard written specifically for very small companies, and it sits alongside rather than within FRS 102, which is used by larger entities. In practice, FRS 105 keeps things straightforward: assets and liabilities are measured on a simple historical cost basis, fair value accounting and revaluation are not permitted, and the disclosure notes are far lighter than those required under other frameworks. A qualifying company can choose to apply the micro-entities regime, and when it does, FRS 105 is the framework its financial statements must follow. The result is a concise balance sheet and profit and loss account that still presents a true and fair view of the company’s position, in a format that is easier to read, easier to prepare and easier to file. If your company does not qualify, or decides not to use the regime, a different standard will apply instead.

Who Can Use FRS 105 in the UK? Qualifying for the Micro-Entities Regime

FRS 105 is intended for companies that qualify as micro-entities under UK company law and then choose to apply the micro-entities regime. Eligibility is not decided by a single number. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those tests sit alongside other rules and exclusions — certain entities and certain activities are not eligible regardless of size — so meeting the size conditions alone does not guarantee that the regime is open to you. For companies in Calmore and elsewhere in the UK, the practical route is to check eligibility against the specific rules, confirm that the regime is suitable for your circumstances, and only then prepare the financial statements under FRS 105.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Freelancers & Contractors

Startups & Small Companies

Practical support for newly incorporated companies filing their first set of micro-entity accounts.

Dormant & Low-Activity Companies

Dormant company accounts and FRS 105 accounts for LLPs that meet the micro-entity thresholds.

Professionally Prepared FRS 105 Accounts and Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts is about more than filling in a template. The figures need to be built from your company’s underlying records — sales, costs, bank and card transactions, assets, liabilities and any amounts owed to or by the company — and then presented in line with the requirements of the micro-entities regime. We work from the information you provide to prepare a balance sheet and profit and loss account together with the limited notes that apply, and we keep the accounts and the Companies House filing as one piece of work while treating Corporation Tax separately. Your Corporation Tax Return (CT600) is submitted to HMRC and is a distinct obligation from the accounts filed at Companies House, even though both draw on the same underlying figures. Where judgement is needed, on the treatment of a transaction or on whether the micro-entities regime genuinely suits your circumstances, we explain the options and the reasoning rather than simply making the call for you.

FRS 105 is the Financial Reporting Standard that applies to companies using the UK micro-entities regime. It is a standalone standard, separate from FRS 102, written specifically for very small companies. It restricts measurement to a straightforward historical cost basis, does not allow fair value accounting or revaluation, and requires far fewer disclosure notes than other frameworks. When a qualifying company chooses to apply the micro-entities regime, FRS 105 is the framework its financial statements must follow.

It is available to UK companies that qualify as micro-entities and decide to apply the regime. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Other eligibility rules and exclusions can also apply, so meeting the size conditions alone does not automatically mean the regime is available or suitable.

No. The micro-entities regime is an optional accounting framework. A company that qualifies can choose to use it, or it can prepare its accounts under a fuller framework such as FRS 102. The choice can affect the level of detail in the accounts and the notes, and it is worth considering alongside your wider circumstances — for example, whether a lender, investor or parent company expects a particular level of reporting, or whether your accounts need to be consolidated.

For accounting periods beginning on or after 6 April 2025, the size conditions are turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. A company generally has to meet at least 2 of these 3 conditions to qualify. Beyond the size tests, other rules and exclusions apply — certain types of entity and certain activities are outside the regime regardless of size — which is why eligibility should be checked against your specific situation rather than assumed from turnover alone.

Both are UK accounting standards, but they are aimed at different sizes of company. FRS 102 is the main standard and covers a broad range of entities, with options such as fair value measurement, revaluation of assets and a fuller set of disclosure notes. FRS 105 is a slimmed-down, self-contained standard for the micro-entities regime: measurement is limited to historical cost, revaluations and fair value adjustments are not permitted, and the notes required are much shorter. FRS 105 is not simply a shorter version of FRS 102 — it has its own rules.

Companies that are required to file annual accounts must deliver them to Companies House, and where a company has prepared accounts under the micro-entities regime, those accounts can generally be filed in the simplified format the regime allows. Filing the accounts is separate from your Corporation Tax obligations. A CT600 is submitted to HMRC rather than Companies House, and the two are handled through different systems and on different timetables.

Yes. FRS 105 Micro Entity Accounts are your company's statutory financial statements, prepared under the micro-entities regime and filed at Companies House. A CT600 is the Corporation Tax Return submitted to HMRC to report taxable profits and work out the tax due. The two draw on much of the same underlying information, but they are distinct documents with their own rules, deadlines and submission routes, so preparing one does not automatically take care of the other.

In most cases we need your bookkeeping or accounting records for the period, bank and credit card statements, details of sales and purchases, a list of assets and liabilities at the period end, information on any loans or amounts owed to or by the company, and the previous year's accounts where they exist. Confirmation of your company details and the accounting period covered is also helpful. If your records are incomplete or kept in a format that needs tidying, we can discuss what needs to be put in place before the accounts are prepared.
