First Year Accounts for Limited Company in Yelverton, Prepared and Filed for You

A company’s first set of statutory accounts tends to raise questions that a standard letter never quite answers: what period do they cover, what actually goes to Companies House, and how does the separate Corporation Tax position fit around them? Micro Entity Accounts prepares First Year Accounts for Limited Company directors in Yelverton, working from the accounting records kept since incorporation. We review the figures, prepare a balance sheet and, where applicable, a profit and loss account, and file the accounts with Companies House where required. Where a Corporation Tax Return such as a CT600 is needed, that is a separate submission to HMRC, and we can support you with it alongside the accounts so the two obligations are not confused with one another.

He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. That period usually begins on the date of incorporation and ends on the company’s first accounting reference date, which Companies House generally sets to the last day of the month in which the first anniversary of incorporation falls. Because a first period can be longer than twelve months, the accounting period, the accounting reference date and the resulting filing deadline are best confirmed for the company in question rather than assumed. Directors can sometimes change the accounting reference date, but there are procedures and limits, so it is worth checking before accounts are prepared. Preparing the accounts is not simply a matter of adding up the bank balance. Directors need to have kept accounting records from day one, and those records shape the accounts: sales invoices and income records, business expenses and purchase invoices, asset purchases, share capital issued at incorporation, any director’s loan movements, and payroll or VAT records where those apply. Not every company will have all of these, but whatever activity has taken place needs to be reflected accurately. We use those records to build the accounts and to show the company’s position at the period end. The reporting framework matters as much as the figures. Some companies may qualify for the micro-entity framework, and FRS 105 is the financial reporting standard written for qualifying micro-entities, allowing a simplified balance sheet with limited disclosure. Eligibility depends on the company’s size and circumstances for the relevant accounting period, so it should be assessed rather than assumed. Being newly incorporated does not by itself mean a company qualifies, and not every new limited company is a micro-entity. It also helps to keep the separate filings straight. First-year statutory accounts are delivered to Companies House where required, and Companies House does not approve them or assess whether an accountant prepared them. A Corporation Tax Return, such as a CT600, is submitted to HMRC where applicable, and the company’s first Corporation Tax accounting period may not match the period covered by the statutory accounts. A confirmation statement is a further, separate filing that keeps Companies House information such as directors and share capital up to date. For directors of newly incorporated companies in Yelverton, we prepare and file the first statutory accounts and explain clearly which other obligations still sit with the company.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

They are the first set of annual statutory accounts a company prepares for its initial accounting period, which normally runs from the date of incorporation to the company's first accounting reference date. The accounts typically include a balance sheet and, where applicable, a profit and loss account, along with the notes and statements required by the reporting framework the company uses. Once prepared, they are filed with Companies House where required. They are a statutory obligation, not an optional exercise for a newly formed company.

Companies House sets the company's first accounting reference date at incorporation, generally to the last day of the month in which the first anniversary of incorporation falls. The first accounting period starts on the date of incorporation and ends on that reference date, which is why a first period can be longer than twelve months. Directors can sometimes change the accounting reference date, but there are rules and limits around doing so. Confirm the dates before the accounts are prepared rather than working from assumption.

A company incorporated in Yelverton has the same statutory accounts obligations as any other UK limited company, and those obligations apply whether or not the company has started trading or generated income. Statutory accounts are delivered to Companies House where required, and Companies House does not approve them or assess how they were prepared. If you are unsure which filing applies to your company, it is worth checking the position early rather than waiting until the deadline is close.

It depends on what the company has actually done. Typically we ask for bank transactions and statements, sales and income records, purchase invoices and expense receipts, details of any assets purchased, the share capital issued at incorporation, director loan movements, and payroll or VAT records where those apply. If the company has had very little activity, we still need the records of whatever did take place so the accounts reflect the position accurately. Sending everything in one organised set usually makes the process quicker.

No, and the two should not be treated as interchangeable. First-year statutory accounts are filed with Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Figures from the accounts often inform the Corporation Tax position, but the filings serve different purposes and go to different bodies. A company's first Corporation Tax accounting period may not line up exactly with the statutory accounts period, and completing one filing does not complete the other.

Some do, but not automatically. The micro-entity framework is available to companies that meet the eligibility conditions for the relevant accounting period, and FRS 105 is the reporting standard that applies to qualifying micro-entities, allowing a simplified balance sheet and reduced disclosure. A new company with modest activity may well qualify, but the test has to be applied to that company's own circumstances and figures. If it does not qualify, a different framework applies and the accounts are prepared accordingly.

No. A confirmation statement is a separate filing that confirms the company's details at Companies House, including directors, share capital and registered office, and it runs on its own cycle. Corporation Tax and VAT, where the company is registered, are separate again. Preparing and filing the first-year accounts resolves the accounts element of the compliance picture only, so it is worth keeping a simple view of everything that is due.

Filing after the applicable deadline can lead to consequences from Companies House, and the position varies depending on how late the accounts are and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts. If accounts have been filed late and a director believes there was a valid reason, whether an appeal is possible depends on the circumstances and the applicable rules. Raising the issue early is usually better than leaving it unresolved.
