What Are First Year Accounts for a New Limited Company?

First-year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period, covering the period from incorporation (or from when the company began its first accounting period) up to its first accounting reference date. Every limited company has an accounting reference date, which Companies House sets when the company is incorporated. Directors can change it in certain circumstances, but unless that happens, the first accounting period is built around the original date. It is worth noting that the first period is not always the same length as later periods, and the rules that determine whether it is shortened or extended depend on the company’s circumstances. First-year accounts are not optional. A limited company is required to prepare accounts and, where applicable, deliver them to Companies House, even if trading has been limited or has not yet started. Accounts prepared for the company’s members typically include a balance sheet, and where the applicable framework requires it, a profit and loss account, along with the notes and statements required by that framework. Directors remain responsible for keeping adequate accounting records and for ensuring the company meets its statutory obligations, even when an accountant is engaged to prepare and file the accounts.
