What Are First Year Accounts for a Micro Company?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional and they are not simply a formality attached to incorporation — they are the formal record of the company’s financial position and performance for that first period, and they generally need to be filed with Companies House where required. For directors in West Malling running a newly incorporated company, the first accounts often arrive sooner than expected, and the period they cover can be different from the twelve-month pattern that applies in later years. They are a formal statutory document rather than an internal summary.

The deadline depends on your company's accounting reference date, which is set when the company is incorporated, and on the length of the first accounting period. First periods can run longer than twelve months, so the filing date is not the same for every company. The most reliable approach is to check your company's own accounting reference date and the current Companies House guidance, then work back from there. We can confirm the position for your company when we prepare the accounts.

It varies by company, but typically we would look at bank statements and transaction records, sales and income records, purchase invoices and business expenses, any assets bought for the company, share capital details from incorporation, director loans or other financing, and payroll or VAT records where those apply. If your company has had very little activity, we will still review what exists so the accounts reflect the actual position rather than an assumed one.

In most cases yes — statutory accounts generally need to be delivered to Companies House where required, and that obligation exists independently of whether the company has started trading or made a profit. Being newly incorporated does not remove the requirement. Companies House receives the accounts; it does not prepare them, and filing does not mean the accounts have been reviewed or approved in any regulatory sense.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, which may include penalties that increase the longer the accounts remain outstanding. Paying a penalty does not remove the requirement to file.
