First Year Accounts for Limited Company in West Horndon — Prepared and Filed with Professional Support

Incorporating a limited company brings a set of statutory reporting duties that apply whether or not the business has started trading yet. Micro Entity Accounts helps directors in West Horndon deal with the first of those duties: preparing the company’s opening set of statutory accounts. That means reviewing the accounting records behind the figures, drafting the accounts for the relevant accounting period and supporting the delivery of those accounts to Companies House where required. Because a first accounting period can be longer or shorter than a standard twelve months, we also look carefully at how the incorporation date and accounting reference date shape what actually needs to be prepared. Corporation Tax is a separate matter — where the company has a liability to report, a CT600 is submitted to HMRC independently of the Companies House accounts filing. Our focus is making sure the first-year accounts themselves are accurate, consistent with the records held and prepared for the applicable deadline.

He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and When Does That Framework Apply?

First year accounts — often called the first statutory accounts — are the opening set of annual accounts a limited company prepares for Companies House, covering its initial accounting period. For a newly incorporated company, that period normally starts on the date of incorporation and runs to the company’s first accounting reference date. It is not automatically twelve months long; a first period can be longer or shorter, and the exact dates depend on the incorporation date and the accounting reference date assigned to the company. Directors in West Horndon often assume the deadline works the same way for everyone, but it is the company’s own reference date and period of account that determine when the accounts need to be delivered. Some companies are eligible to prepare accounts under the micro-entity framework, using FRS 105, the financial reporting standard that applies to qualifying micro-entities. Eligibility is assessed against the conditions in force for the relevant accounting period, so it is not something that can be assumed simply because a company is new or has limited activity. Where the micro-entity framework does not fit, another reporting framework may be more appropriate, and that should be considered on the company’s own circumstances. It also helps to keep the various obligations separate. First year statutory accounts are delivered to Companies House where required. A Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations, and the company’s first Corporation Tax accounting period may not match its statutory accounts period exactly. A confirmation statement is a further, separate filing. None of these replaces the others, and keeping accurate accounting records throughout the first period makes each of them far easier to deal with.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

They are the first set of annual statutory accounts a company prepares, covering its initial accounting period. That period usually begins on the date of incorporation and ends on the company's first accounting reference date. The accounts normally include a balance sheet and, where applicable, a profit and loss account, along with any notes required by the reporting framework the company uses. They are prepared from the company's accounting records and are separate from any Corporation Tax Return submitted to HMRC.

The due date is worked out from the company's accounting reference date rather than from the date the accounts are actually prepared, and Companies House applies a set timescale from that date. Because the first accounting period can be longer or shorter than twelve months depending on the incorporation date, the deadline is not identical for every company. It is worth checking the specific reference date and period shown on the Companies House record for your company early on.

It depends on what the company has actually done. Typical items include bank statements and transactions, sales and income records, purchase invoices and business expenses, asset purchases, director loan movements, share capital details, and any finance or loan agreements. Where the company runs payroll or is VAT registered, the relevant records also feed into the figures. A company with very little activity will need far less, but the underlying records still need to be complete and accurate.

In most cases, yes. A limited company is generally required to deliver statutory accounts for its first accounting period, and that obligation does not disappear simply because the company has not started trading or has had minimal activity. Where a company has had no significant transactions, its reporting position depends on its particular circumstances and the applicable rules — it should not automatically be treated as dormant. Directors in West Horndon can check the position with us before assuming nothing needs to be filed.

No, they are different filings with different destinations. The statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. Figures from the accounts are often used when preparing the Corporation Tax position, but delivering the accounts does not submit a CT600, and filing a CT600 does not complete the Companies House accounts requirement.

It may do, but not automatically. Micro-entity reporting under FRS 105 depends on meeting the eligibility conditions that apply for the relevant accounting period. A newly incorporated company with low turnover does not qualify purely because it is small or new — the tests need to be applied. If the company does not meet them, the small company regime or full reporting may be the appropriate framework instead.

No. A confirmation statement is a separate filing that confirms the company's registered details, such as its officers, registered office and share information, are up to date. Preparing and filing the first-year accounts does not satisfy that requirement, and filing a confirmation statement does not satisfy the accounts requirement. Both should be tracked separately so nothing slips once the company is up and running.

Failing to deliver accounts by the applicable deadline can lead to Companies House consequences, and the outcome varies depending on how late the filing is and the company's filing history. Paying any penalty that arises does not remove the obligation to file the outstanding accounts. If accounts are already overdue, the priority is to get accurate accounts prepared and delivered, and we can assist with that and explain the options available in your circumstances.
