What Are First Year Accounts for a Micro Company?

First year accounts are the first set of statutory accounts a limited company prepares. They cover the company’s initial accounting period, which normally begins on the date of incorporation and runs to the company’s first accounting reference date. That first period is often longer than the twelve months used in later years, so the figures can cover a stretch of trading, or of minimal activity, that does not line up neatly with a conventional financial year. Every UK limited company is required to prepare statutory accounts for its accounting period and, where required, deliver them to Companies House. That obligation exists whether the company has been busy or quiet. If a business has had very limited activity, or has not yet started trading, the directors still need to consider what has to be reported — and whether the company’s circumstances mean it is genuinely dormant under the applicable rules, rather than simply assuming it is because no invoices have been issued. It varies with the company, but typically we would ask for the certificate of incorporation and incorporation date, confirmation of the accounting reference date, details of share capital and any shares issued, bank statements and transaction records, sales and income records, purchase invoices and business expenses, details of any assets bought, and any director's loan account activity. Where the company runs payroll or is VAT registered, the relevant records are useful too. If some of this is thin because trading has been limited, that is not a problem — we work with what the company actually has.

Being recently incorporated or having had little activity does not remove the obligation to prepare accounts and consider what needs to be filed. The one point worth being careful about is dormancy: a company with no significant accounting transactions may be able to file dormant accounts, but whether that treatment is appropriate depends on its circumstances and the applicable rules.
