First Year Accounts for Limited Company in Stourport-on-Severn: Prepared Accurately, Filed Correctly

Your company’s first set of statutory accounts is a milestone, and it comes with its own rules. If your limited company is based in Stourport-on-Severn and you are nearing the end of your initial accounting period, Micro Entity Accounts can help you bring the figures together, prepare statutory accounts that meet the applicable requirements, and support you with filing at Companies House where required. We start by reviewing the accounting records you hold — bank transactions, invoices, expense receipts, asset purchases, director transactions and share capital details — so the accounts reflect what actually happened in the period. From there we consider which reporting framework applies to your company, prepare the balance sheet and, where relevant, the profit and loss account, and explain the filing process clearly. First year accounts and Corporation Tax are separate matters: a CT600 is submitted to HMRC, not Companies House, and preparing your statutory accounts does not settle that obligation automatically.

He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

First CT600 due

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of annual statutory accounts a limited company prepares. They cover the company’s initial accounting period, which starts on the date of incorporation and ends on its first accounting reference date. This is the first formal reporting cycle the company goes through, and it applies whether the company has been busy from day one or has only just begun to find its feet. It is not an optional exercise simply because the company is new. When Companies House registers a limited company, it also assigns an accounting reference date. The first accounting period runs from incorporation to that date, though the period may be longer or shorter than a standard twelve months depending on the company’s circumstances and any changes made to the accounting reference date. Because of this, a company’s first accounts filing obligation is not always worked out in the same way as its later accounts, and it is worth confirming the dates that apply to your company rather than assuming they follow the usual pattern. Directors remain responsible for making sure the company keeps adequate accounting records and delivers the required accounts. Engaging an accountant does not move that responsibility away from the directors — professional support means assistance with preparing, reviewing and filing the information, while the directors stay accountable for the company’s compliance. Some limited companies qualify to report under the micro-entity framework, and qualifying entities may use FRS 105, the financial reporting standard that applies to the micro-entity accounting framework. Eligibility depends on the company’s size for the relevant accounting period and is assessed against the applicable criteria. A newly incorporated company is not automatically a micro-entity, and modest activity does not guarantee eligibility either. Where micro-entity accounts are appropriate, disclosure requirements are reduced, but the accounts still need to be accurate and filed correctly. It is also worth keeping the various filings separate in your mind. Corporation Tax is a distinct matter: a company may need to prepare and submit a Corporation Tax Return, such as a CT600, to HMRC, and its first Corporation Tax accounting period does not necessarily line up exactly with its statutory accounts period. A confirmation statement is separate again and does not replace the accounts. Completing one filing does not complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

They are the first set of annual statutory accounts a limited company prepares, covering the period from the date of incorporation to the company's first accounting reference date. Depending on the reporting framework the company uses, they typically include a balance sheet and, where applicable, a profit and loss account and supporting notes. Every limited company has statutory reporting obligations, so the first period is not exempt just because the company is new.

Companies House assigns an accounting reference date when a company is incorporated, and the first accounting period runs from incorporation to that date. The deadline for filing first accounts is calculated differently from later years and is not necessarily the same length of time, so it should be confirmed against your own company's dates. Rather than estimate, check the company's details on the Companies House register or ask your accountant to confirm the deadline that applies to you.

It depends on what the company has done. Common items include bank statements and transactions, sales and income records, purchase invoices and expense receipts, details of assets bought or sold, director transactions and loans, share capital information, and payroll or VAT records where those apply. If activity has been limited, the records will be correspondingly simpler. Complete and accurate records make preparation quicker and reduce the chance of corrections later.

In most cases yes — a limited company has statutory accounts filing obligations from its first period. First year statutory accounts are delivered to Companies House where required. This is separate from the confirmation statement, which is also submitted to Companies House but serves a different purpose and does not replace the accounts. Directors in Stourport-on-Severn remain responsible for making sure these filings happen.

A company may still have a filing obligation even where it has had limited or no activity, so it should not be assumed that nothing needs to be done. Whether a company is treated as dormant for a period depends on the specific tests and its own circumstances, and the reporting position follows from that. If trading has not started, it is sensible to take advice on how the company should be reported rather than simply not filing.

No. Statutory accounts are prepared under company law and delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC, and a company may need to file one if it has a Corporation Tax obligation for the period. Both draw on similar accounting information, but they are prepared for different purposes and sent to different organisations. Completing one does not complete the other.

Some companies do, but not automatically. Eligibility for the micro-entity framework depends on the company meeting the applicable criteria for the relevant accounting period, and FRS 105 is the standard used by qualifying entities that report under it. A newly incorporated company may or may not qualify, and the position can change over time. The right framework should be determined from the company's own circumstances before the accounts are prepared.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, which may include late filing penalties that increase with the length of the delay. Paying a penalty does not remove the requirement to file the outstanding accounts. In some cases an appeal may be possible, although whether it s쳮ds depends on the reasons for the delay and the applicable rules. If your company is in that position, having the accounts finalised and filed without further delay is usually the priority.
